| SUBJECT | : | Supplemental Guidelines in the Conduct of Referendum for Electric Cooperatives Conversion |
Pursuant to Sec. 25-A of the Implementing Rules and Regulations (IRR) of R.A. No. 10531, in consultation with the stakeholders regarding the conduct of Referendum by the Electric Cooperatives (ECs), we are issuing these Supplemental Guidelines in the Conduct of Referendum for EC Conversion for the following scenarios:
1. Electric Cooperatives which have previously conducted their referendum pursuant to R.A. No. 9136 and opted to remain as non-stock, non-profit electric cooperative, or status quo, shall be ratified during their next regular AGMA such fact of previous referendum so as to already comply with R.A. No. 10531 and its IRR.
2. Electric Cooperatives which already have conducted AGMA, prior to the issuance of this Memorandum, wherein conversion issue was tackled as one of the agenda and decided to remain as non-stock/non-profit EC registered under NEA, or status quo, shall be considered compliant with R.A. No. 10531.
3. For those ECs which will conduct AGMA and conversion issue will be tackled as one of the agenda wherein majority decision to remain non-stock, non-profit EC among member-consumers shall be ratified.
However, in cases where the decision of the AGMA is for conversion, referendum shall be promptly undertaken in accordance with the existing referendum guidelines in which the official results shall be declared by the Board President before the adjournment of General Assembly for resolution and ratification.
Electric Cooperatives which opted to remain as non-stock and non-profit cooperative under NEA may conduct another referendum only after ten (10) years, reckoned from the date of the last referendum.
This Memorandum is issued by way of Supplement to the Guidelines in the Conduct of Referendum for Electric Cooperative Conversion dated 06 July 2015, and shall take effect immediately upon publication in a newspaper of general circulation. CAIHTE
