CDA MEMORANDUM CIRCULAR NO. 08-07

SUBJECT : Amended Guidelines on the Organization and Operations of Cooperative Development Councils at the National, Regional, Provincial, City and Municipal Levels

 

As the Lead Government Agency on cooperative promotion, development and regulation pursuant to Executive Order No. 95, dated June 8, 1993, and pursuant to Board Resolution No. 167, Series of 2007, dated June 22, 2007, this Authority hereby promulgates the following Guidelines on the Organization and Operations of Cooperative Development Councils at the National, Regional, Provincial, City and Municipal Levels, hereinafter referred to as the Councils:

PART I

General Provisions

SECTION 1. Title. — This Memorandum Circular shall be known as the "Cooperative Development Council (CDC) Organizational Policy of 2007".

SECTION 2. Declaration of Policy. — The Cooperative Development Authority (CDA) hereby declares the indispensability of the Cooperative Development Councils as the mechanism to ensure a strong partnership between and among the CDA, other National Government Agencies (NGAs), including the Government Financial Institutions and Instrumentalities (GFIs), the Local Government Units (LGUs), Non-Government, Organizations (NGOs) and the Cooperative Movement itself for the purpose of advancing the spirit of cooperativism in the Philippines. SECTION 3. Objectives. — This Memorandum Circular aims to:

a) Ensure the organization, or if already organized, the reorganization and strengthening of Cooperative Development Councils at the national, regional, provincial, city and municipal levels consistent with this Circular; and

b) Set the benchmarks and/or basic standards on the operations of the Cooperative Development Councils applicable in a particular level.

SECTION 4. Definition of Terms. — For purposes of this Memorandum Circular, the following terms shall mean as:

a) Members — shall refer to the National Government Agencies (NGAs), Government Financial Institutions (GFIs), Local Government Units (LGUs), coop-promoting Non-Government Organizations (NGOs) and institutions, Leagues, Cooperatives and appointed private sector representatives that are duly accepted as members of the Councils;

b) National Government Agencies (NGAs) — shall refer to Departments, Bureaus, Commissions, Authorities of the National Government which has programs or projects involving cooperatives, such as but not limited to: aSITDC

1. Department of Agriculture;

2. Department of Agrarian Reform;

3. Department of the Interior and Local Government;

4. Department of Trade and Industry;

5. National Anti-Poverty Commission;

6. Other National Government Agency as maybe determined by the Council.

c) Government Financial Institutions (GFIs) — shall refer but not limited to:

1. Land Bank of the Philippines;

2. Development Bank of the Philippines

3. Quedan and Rural Credit Guaranty Corporation cTEICD

4. Philippine Credit and Finance Corporation

d) Local Government Units (LGUs) — shall refer to the Provinces, Cities, and Municipalities;

e) League — shall refer to the League of Governors of the Philippines or Mayors' League of the Philippines; the League of Cooperative Development Officers of the Philippines;

f) Cooperative Organizations — shall refer to the duly registered cooperatives, such as but not limited to:

1. Primary Cooperatives

2. Cooperative Federations

3. Cooperative Unions HaAIES

4. Coop Banks; and

5. Coop Insurance

g) Cooperative Development Office — shall refer to the cooperative development office, division or section established by the provincial, city or municipal governments;

h) Cooperative Development Officer — shall refer to the cooperative development officer, division chief, section head, appointed or designated by the provincial, city or municipal governments;

i) NCDC, RCDC, PCDC, CCDC, MCDC — shall refer to the National Cooperative Development Council, Regional Cooperative Development Council, Provincial Cooperative Development Council, City Cooperative Development Council, and Municipal Cooperative Development Council, respectively; and

j) PCDO, CCDO, MCDO — shall refer to the Provincial Cooperative Development Office, City Cooperative Development Office and the Municipal Cooperative Development Office, respectively. ESTaHC

k) Private sector representative — shall refer to individuals admitted by the different councils. They are chosen based on their technical skills and capability to give advice to the council; their links and access to financial sources; their capability to generate and link to other resources useful to the cooperatives; and their renowned expertise in advocacy.

l) Co-op-promoting NGOs and institutions — shall refer to organizations with members which are cooperatives or have projects in assisting or involving cooperatives; and with advocacy for cooperative organizing and development.

PART II

Mandate, Powers and Functions of the Councils

SECTION 5. Mandate. — It shall be the primary mandate of the Councils to serve as a mechanism for collaboration, consultation and coordination in the implementation of various programs and projects implemented by all government branches, instrumentalities, subdivisions, and agencies for the cooperatives. SECTION 6. Powers and Functions. — The Councils shall have the following powers and functions:

a) To coordinate, harmonize and monitor the implementation of various cooperative development plans, programs and projects of NGAs, GFIs, NGOs, LGUs, and the Councils concerned;

b) To formulate implementing guidelines and create mechanisms to operationalize and monitor the Medium-Term Cooperative Development Plan (MTCDP);

c) To maintain, in coordination with the CDA, a database on relevant information concerning the state of the cooperative movement in their respective areas of jurisdiction and periodically mount a campaign to disseminate the cooperative movement's contribution to the local economy and the movement; TAESDH

d) To call to a meeting or fora, in coordination with the CDA, all concerned NGAs, GFIs, LGUs, coop-promoting NGOs and institutions, and other cooperative development councils, the primary cooperatives, leagues, unions and federations to discuss various problems, issues and concerns affecting cooperatives within their respective areas of jurisdiction, and to recommend appropriate solutions thereof;

e) To conduct, or assist in the holding of important events, such as but not limited to, cooperative month celebrations, cooperative summits, cooperative congresses, trainings and the like;

f) To recognize and promote the observance at all times, of the universally-accepted cooperative principles as embodied in the Cooperative Code in the performance of the above functions; and

g) To undertake projects and/or activities that may generate funds for its operational stability. EIDTAa

Structure of Organization

ARTICLE I

Membership

The Chairperson of the respective councils shall approve the acceptance of all members, respectively. He/She shall issue appointment document to such members to recognize their membership and acceptance to the Council concerned.

SECTION 8. Qualifications and Requirements. — The qualifications and requirements for membership in the Council are as follows:

a) The qualified cooperative federations and unions shall submit a Board Resolution designating a permanent and alternate representative to the Council;

b) The Heads of the NGAs, GFIs, and LGUs shall be the automatic representative of their respective agencies to the Council. However, they may issue a special order, copy furnished the Council, designating their alternate representative. TacESD

c) The respective Heads of a co-op-promoting Non-Government Organization or institution, Cooperative Union and Federation, including the lower-level Councils which are members of higher-level Council, shall likewise be the automatic representative of such organizations. The heads may however issue an order, copy furnished the Council, designating the alternate representative of such organization to the Council;

d) Resolution of the Member-Council, as the case may be;

e) Payment of annual membership fee as may be agreed by the Councils.

Membership to the councils of all representatives of government agencies, local government units, cooperatives and other organizations shall be in effect unless revoked or replaced by their respective organizations, and heads of offices in writing.

SECTION 9. Rights of a Member. — A member of the Council shall have the following rights:

a) To exercise the right to vote in all matters relating to the affairs of the Council; TcaAID

b) To be eligible for election or appointment in any of the elective or appointive office or committee of the Council;

c) To participate in all meetings and deliberations of the Council;

d) To avail of the services and facilities of the Council; and

e) To examine all the records or books of accounts of the Council during business hours.

SECTION 10. Duties and Responsibilities. — Every member shall have the following duties and responsibilities:

a) To obey and comply with the rules and policies that may be promulgated by the Council from time to time;

b) To attend in all meetings and other related activities that may be called by the Chairman or majority of the members of the Council; and

c) To pay membership fees and/or annual contributions and other fees as may be agreed by the Councils;

d) To assist in the implementation of the Medium-Term Cooperative Development Plan of the Council;

e) To observe the approved Work and Financial Plan of the Council. EDCcaS

SECTION 11. Sanctions. — The Council may impose sanctions upon any member based on any of, but not limited to, the following grounds:

a) When a member has not attended the meetings of the Council for three (3) consecutive meetings without any valid reasons;

b) When a member has continuously failed to comply with his/her obligations;

c) When a member has willfully violated any of the provisions of any rules and regulations and policies of the Council, including this Memorandum Circular;

d) For acts or omission injurious or prejudicial to the interest and welfare of the Council.

SECTION 12. Reward and Recognition. — The Councils shall adopt their respective Reward and Recognition System for their well-performing members which may be conducted annually.

Unless the Councils provide otherwise, the recognition may be as follows:

Officers

SECTION 13. Officers. — The Councils shall have the following officers:

a) Chairperson;

b) Co-Chairperson;

c) Vice Chairperson;

d) Secretary;

e) Treasurer; and

f) Auditor

The Chairperson, Co-Chairperson and Vice Chairperson of the Councils at every level shall be as follows:

By virtue hereof, you are hereby authorized to represent the Agency in the said Council, perform its duties and responsibilities and shall be entitled to the corresponding rights appurtenant to such membership.

SECTION 14. Term of Office. — The term of office of every elected officer of the Council shall be TWO (2) years, with the right to successive re-election. It shall commence on the first day of January.

The private sector representative members of the different cooperative development councils shall serve for a period of two (2) years from the time of their appointment. They shall be eligible for re-appointment. DICcTa

SECTION 15. Manner and Schedule of Election. — The manner of election of officers shall be by secret ballot, and the general elections shall be held every other December, consistent with the provisions of Section 26 hereof.

The members of the Council who are not present during the conduct of election cannot be nominated to any of the positions mentioned in this Circular.

SECTION 16. Vacancy in Office. — In case of vacancy in the office arising out of, but not limited to, the causes such as death, permanent incapacity, removal or resignation, a special election for such vacant position shall be conducted during the succeeding meeting of the officers. A member who is elected to fill in such vacancy shall serve for the unexpired portion of the term.

SECTION 17. Duties of the Chairperson. — The Chairperson of the Councils shall be the Chief Executive Officer. He/she shall have the following duties and responsibilities: aCSHDI

a) Presides in all meetings of the Council;

b) Coordinates the support of government agencies and government financial institutions involved in the Council;

c) Exercises general supervision and control over the operations and internal administration of the Council in accordance with the policies set forth by the same; TcSaHC

d) Signs all papers, contracts and other documents for and in behalf of the Council, subject to the policies and guidelines of the Council;

e) Represents the Council in all matters/meetings/conferences and other related activities;

f) Call special meetings, as may be necessary;

g) Approves all vouchers, countersigns all checks and withdrawals of funds of the Council;

h) Ensures that the council maintains complete records of its operations;

i) Renders a report of the operations of the Council; and

j) Performs such other duties as may be required by the Council.

SECTION 17. n  Duties of the Co-Chairperson. — The Co-Chairperson shall have the following duties:

a) Acts as Chairperson in case of the latter's absence due to permanent disability, death or resignation until his/her successor shall have been elected; and

b) Performs such other duties as may be delegated to him/her from time to time by the Chairperson and/or the Council.

SECTION 18. Duties of the Vice Chairperson. — The Vice Chairperson shall principally assist the Chairperson in the performance of his/her duties. In addition, he/she shall have the following duties:

a) Coordinates the support of government agencies and government financial institutions involved in the Council;

b) Performs such other duties as maybe required by the Council.

SECTION 19. Secretary. — The Secretary of the Council shall supervise and oversee the performance of the functions of the secretariat and shall certify to the correctness of all documents and proceedings of the Council. HTCAED

SECTION 20. Treasurer. — The Treasurer of the Council shall have the following duties and responsibilities:

a) Have custody, control, and accountability of funds and properties of the Council;

b) Disburses all administrative expenditures of the Council in accordance with its plan and budget and such expenditures duly approved by the Council through resolution;

c) Deposits all funds in a bank or cooperative previously authorized by the Council, and signs all checks and other similar valuable effects for disbursement of all expenditures and liabilities of the Council;

d) Issues official receipts for any sum of money or property received by him for the Council;

e) Renders financial reports during meetings, and keeps inventories of the books and other properties in the custody of other officers of the Council;

f) Keeps and maintains books of accounts;

g) Furnishes all members copy of the audited financial statements of the Council;

h) Performs such other duties as may be assigned by the Chairperson and/or the Council. He shall post a bond in an amount to be approved by the officers of the Council. aHTDAc

SECTION 21. Auditor. — The Auditor who must possess the basic skills or knowledge in accounting and auditing procedures shall have the right to inspect, examine and audit all transactions, financial or otherwise, made by the Chairperson, other officers, and/or the Council itself and shall submit reports thereof to the Council at least once a year or as required by the Council.

 

The Auditor shall conduct periodic audit. It may be quarterly, semestral, annual or per activity audit.

ARTICLE III

Council Secretariat

SECTION 22. Secretariat of the Councils. — The Councils shall have technical and administrative secretariat, as follows:

The Council Secretariat shall perform the following functions:

a) Prepares the minutes and agenda and records the attendance and proceedings of all meetings of the Councils;

b) Serves notices of meetings to all members of the Council;

c) Furnishes the officers and members certified copies of the minutes of the meetings;

d) Keeps a register of the names and addresses of all members and keeps a complete file of the laws, resolutions and executive orders relevant to the creation of the Council and the registration and businesses of the cooperatives;

e) In general, performs all duties incidental to the office of the secretariat and those that may be assigned to it by the Chairperson and/or the Council; and

f) Acts as alternate custodian of books of accounts.

ARTICLE IV

Standing Committees

SECTION 23. Committees; their Functions. — Unless the Council provide otherwise, the following committees maybe formed with the functions herein defined:

a) Monitoring and Evaluation Committee

1) conducts program/project evaluation and recommends measures for appropriate actions; EScAHT

2) formulates and designs feedback mechanism, tools and devices to facilitate project monitoring and evaluation;

3) provides timely and regular information on plans, programs, and projects; and

4) monitors the implementation of plans/programs/projects through analysis of accomplishment reports.

b) Planning and Policy Study Committee

1) provides direction in the preparation of plans for the cooperative movement;

2) formulates and recommends basic policies and standards for the preparation and implementation of plans;

3) advises members on the progress of plans/project implementation and recommends measures to improve performance; and

4) establishes and maintains close coordination with planning units of member-agencies.

c) Institutional Development Committee

1) designs a system of ladderized training component that, will serve as a uniform guide or reference for all cooperatives;

2) Provides linkage or access to both local and foreign agencies that grants relevant trainings for coop leaders aimed at improving the knowledge and efficiency in the management of cooperatives; DSEaHT

3) Provide educational training materials that will serve as reference for all cooperatives;

4) Provide access to trainings in the grassroots thru the establishment of a training center for cooperatives in all strategic parts of the country.

d) Project Development and Assistance Committee

1) Serves as the information center for all cooperatives thru the establishment of a data bank system;

2) Assist in the planning and organization of activities such as but not limited to the conduct of local, national and international summits, congresses, assemblies, public fora and the like, all aimed to create an avenue for interaction and awareness of socio-economic and political issues affecting the cooperative movement;

3) Provide technical assistance in the design of programs and projects that will develop the cooperatives' entrepreneurial capability;

4) Provide market linkage for both local and foreign products and services to enhance global competitiveness.

e) Ways and Means Committee

1) To sustain the programs and projects of the council, the ways and means committee shall take charge in the sourcing/generation of funds through the conduct of legally-allowed fund raising activities such as but not limited to the sponsorship of summits, congresses, public fora, trainings, grants, donations whether local or foreign, etc. SCaTAc

SECTION 24. Committee Members. — Every committee shall be composed of at least three (3) members and shall be elected by secret ballot. The members shall serve for a term of two (2) years commencing on the first day of January up to the last day of December of the following year, with the right to successive re-election.

The Committee shall have a Chairperson and a Secretary, who shall be elected by the committee members by secret ballot.

The election for the membership of all committees shall coincide with the election of officers of the Councils during the General Membership Meeting held once in every two years.

ARTICLE V

Meetings

SECTION 25. Meeting of Officers. — The officers may hold regular meeting, either on a monthly, quarterly, or semi-annual basis as the Councils may desire: Provided, That the first regular meeting shall be conducted not later than January 31 of each year.

SECTION 26. General Membership Meeting. — The General Membership Meeting of the NCDC shall be conducted every two years during the month of December while the RCDC, PCDC, CCDC and MCDC shall be every year or as so decided by the Council. General elections for officers and committee members shall likewise be held during a General Membership Meeting. ACHEaI

A special meeting of the council may be called for by the officers of the council as the need arises.

SECTION 27. Notice. — A notice, containing the date, place, time and agenda, shall be served either by mail, personal delivery, short messaging system (text messaging) or through facsimile transmittal or any means approved by the council, to every member at least five (5) days before the date of such meeting for MCDC/CCDC, seven (7) days for RCDC and fifteen (15) days for NCDC.

SECTION 28. Quorum. — A quorum for any meeting of the councils shall consist of at least 5 members present. The quorum may decide all matters at the meeting.

SECTION 29. Order of Business. — The order of business at the monthly meeting of the Council shall be as follows:

a) Call to order

d) National Anthem

e) Cooperative Hymn

f) Cooperative Pledge

g) Reading and Approval of the Minutes of the Previous Meeting

h) Matters arising from the previous meeting

i) Approval of the Agenda

j) Report of the Standing Committees

m) Unfinished business

n) Business of the day

o) Other matters

p) Announcements

SECTION 30. Voting. — During election of officers of the Council, whether regular or special, each member shall be entitled to one (1) vote.

ARTICLE VI

Electoral Board

SECTION 31. The Electoral Board. — The Council shall have an Electoral Board composed of three (3) members, which shall be constituted by the duly elected officers at least one (1) month before the date of general elections. The Board members shall immediately elect from among themselves the Board Chairperson. They shall automatically be ineligible to run for any elective position or office of the Council. They shall administer the elections of the Council independently to insure a free, orderly and honest election of the Council. After sixty (60) days from the date of the general elections, the Board may be considered dissolved.

SECTION 32. Powers of the Electoral Board. — The Electoral Board shall have the powers to adopt rules and regulations necessary to govern election procedures, subject to the approval of the Council. It shall have the power to accept electoral contest or protest not later than five (5) working days from the date of elections, and shall decide and settle all contests relative to the conduct of elections of the officers of the Council not later than thirty (30) days from the date of the elections. Any decision, order or award of the Electoral Board is final, executory and non-appealable. DTAHSI

ARTICLE VII

Miscellaneous Provisions

SECTION 33. Provision of Honorarium. — The officers of the Council and the secretariat may be provided with honorarium subject to availability of funds and with prior authorization by the Council.

SECTION 34. Fiscal Year. — The fiscal year of the Councils shall be from January 1 to December 31 of each year.

SECTION 35. Seal. — The seal of the Council shall be in such form and design as may be determined by the Council.

SECTION 36. Funds. — The CDA shall appropriate a budget for the mobilization of the secretariat at the national and regional level while the Local Government Units and/or the Cooperative Development Councils shall appropriate funds for the secretariat at the provincial/municipal/city levels. The rest of the funds shall be derived from the special assessments, gifts, donations, benefits, grants, legacies or devices from persons, natural or juridical, whether from foreign or local sources. The Councils may undertake legally-allowable projects and/or activities that may generate funds for its operational stability. ADaEIH

No funds of the Council shall be drawn from its Treasury without prior authorization from the Council.

PART IV

Transitory and Final Provisions

SECTION 37. Transitory Provision. — The Councils shall initiate organizational adjustments to conform to the provisions of this Memorandum Circular not later than FY 2008.

SECTION 38. Submission of Report. — The Council Chairperson shall submit a report containing all the officers and committee members to the Cooperative Development Authority, through its field personnel annually. Such report shall be submitted not later than January 31 of each year.

SECTION 39. Repealing Clause. — The provisions of Memorandum Circular No. 93-006, dated July 20, 1993, as amended by Memorandum Circular No. 2000-04, dated July 24, 2000, are hereby repealed. The existing Councils organized under the previous Circulars shall be given up to this year to reorganize in accordance with this Memorandum Circular: Provided, That starting FY 2008, the Councils shall have already reorganized under this Memorandum Circular. SECTION 40. Information Dissemination. — The Cooperative Development Authority through its Central and Extension Offices, shall ensure the massive dissemination of this Memorandum Circular for the next six (6) months.

SECTION 41. Effectivity. — This Memorandum Circular shall take effect immediately.

RESOLVED finally to designate CDA as the co-chair of the CDCs at all levels.
