Please take notice that the Court, First Division, issued a Resolution datedJuly 3, 2019which reads as follows:
"G.R. No. 240644 (Lavine Loungewear Manufacturing Corporation, Harish C. Ramnani, Maureen Ramnani, Jose T. Mañacop, William Madamba and Chandru Pesumal v. Nirmla V. Ramnani). — After review, the Court resolves to DENY the petition for review on certiorari for failure to show that the Court of Appeals (CA) committed any reversible error in granting respondent's appeal, declaring the Deeds of Assignment, purportedly signed by respondent, void, and directing petitioner Lavine Loungewear Manufacturing Corporation and the members of the Board of Directors to allow respondent the full exercise of her rights as stockholder.
The CA correctly ruled, among others, that: (i) respondent cannot be deemed to have admitted the truth of the material allegations in petitioners' answer to second amended petition; (ii) respondent specifically denied the genuineness and due execution, as well as the validity of the five Deeds of Assignment; and (iii) there are clear and convincing pieces of evidence which overcome the presumption of regularity of the notarized Deeds of Assignment. WHEREFORE, the petition is DENIED. The assailed Decision dated October 9, 2017 and Resolution dated July 5, 2018 of the Court of Appeals in CA-G.R. SP No. 140113 are AFFIRMED.
The respondent's first and second motions for extension of time totaling thirty (30) days from February 14, 2019 within which to file a comment/opposition to the petition for review on certiorari are GRANTED; the said respondent's comment on the petition for review on certiorari and the petitioners' reply thereto are both NOTED.
