[SEC-SICD * CASE NO. 4317. June 2, 1995.] JUANITO B. AGULAN and AMELIA D. AGULAN , petitioners , vs . JOSE ELI V. AGULAN, ET AL. , respondents . JUDGMENT BY COMPROMISE Submitted by the parties in the above-captioned case is a compromise agreement dated May 16, 1995, the terms and conditions of which are quoted herein below, to wit: "1. THAT, the petitioners hereby agree and move for the dismissal of the above-entitled petition together with all claims for damages, attorney's fees, interests and costs stated therein against the respondents; while on the other hand, the respondents move for the dismissal of their counterclaim against the petitioners together with all the claims for damages, attorney's fees, interests, and costs against the petitioners also under the above-entitled case; 2. THAT, the petitioners offer the ownership of their shares of stocks in the Skyhawk Security Force and Allied Services, Inc., totaling to TWO THOUSAND SHARES (2000) to the respondents for the sum of TWO HUNDRED THOUSAND PESOS (P200,000.00) which by these presents respondents accept; 3. THAT, the payment for the said shares shall be made in its full amount coinciding with the signing by the petitioners of the Compromise Agreement before the Honorable Commission for Approval on the same date; 4. THAT, the shares of the petitioners sold to the respondents under this Compromise Agreement shall be divided equally among the respondent and the proper representation of the matter to the ( sic ) Securities and Exchange Commission be made immediately after the approval of the Compromise Agreement by the Honorable Commission; WHEREFORE, it is respectfully prayed that the foregoing Compromise Agreement be approved and that judgment be rendered in accordance therewith." WHEREFORE, finding the foregoing Compromise Agreement not to be contrary to law, morals, good customs, public order and public policy, the same is hereby APPROVED and judgment is hereby rendered in accordance therewith.
