[SEC-SICD * CASE NO. 3874. February 23, 1995.] RODRIGO M. CULALA , petitioner , vs . BAUER PRODUCTS PHILIPPINE, ET AL. , respondents . JUDGMENT BY COMPROMISE The parties in the instant case, assisted by their respective counsel submitted a Compromise Agreement dated 22 December 1994 and filed before this Commission on February 22, 1995, the terms and conditions of which are as follows: "1. That petitioner has agreed to sell his shareholdings in BAUER PRODUCTS SALES, INC. consisting of THREE HUNDRED TWENTY FOUR (324) SHARES covered by Stock Certificate No. 002 to respondent company for the price of ONE HUNDRED THIRTY THOUSAND PESOS (P130,000.00): 2. That respondent company is willing to buy and pay the price of said shares upon execution of this Compromise Agreement: 3. That in consideration of the foregoing settlement, petitioner hereby waives all or any interests which he may have in respondent company as a stockholder as well as any claims or award whatsoever, in connection with the above-entitled case against respondents. Likewise, respondent company hereby waives any and all claims against petitioner. It appearing that the foregoing Compromise Agreement is not contrary to law, morals, good customs, public order or public policy, the same is hereby approved and JUDGMENT is rendered in accordance therewith.
