[SEC-SICD * CASE NO. 3606. December 18, 1989.] LUISA S. RODRIGUEZ AKA LUISA R. COMENDADOR , petitioner , vs . RAMON D. COMENDADOR, ET AL. , respondents . D E C I S I O N A compromise agreement having been submitted to this Commission for the approval of the Hearing panel, the terms and conditions of which are as follows: 1. That petitioner, LUISA S. RODRIGUEZ a.k.a. LUISA R. COMENDADOR, had been elected as member of the Board of Directors of the D.D. CONSTRUCTION CORPORATION in the special meeting of stockholders of record held on September 20, 1989, at the main office of the corporation at 738 Vitales St., Malibay, Pasay City Metro Manila, and she assumed her position immediately after her election and proclamation as such board member; 2. That, paid up shares of stock in the aggregate of 1,200,000, the same to be taken from the shares of Engr. D.D. COMENDADOR in an amount equivalent to 600,000 shares, and from that of LUISA S. RODRIGUEZ a.k.a. LUISA R. COMENDADOR in an equivalent amount of 600,000 shares, shall be assigned and transferred in the names of the three (3) children of these parties, as follows: CECILE COMENDADOR 400,000 shares IRENE COMENDADOR 400,000 shares MIRIAM COMENDADOR 400,000 shares which assignment and transfer of shares shall be effected by proper endorsements on the stock certificates involved and made of record in the stock and transfer book of the corporation. 3. That the petitioner hereby waives, relinquishes and makes a quit-claim of whatever demands or claims she has now and may have in the future against the respondents, and hereby agrees to the dismissal of this case." and finding the said compromise agreement to be in order and not contrary to law, moral and public policy, the same is hereby APPROVED and judgment is hereby rendered in accordance therewith.
