[SEC-SICD * CASE NO. 3605. May 18, 1992.] LEONILA C. PADUA , complainant , vs . RHODORA N. TORRES, ET AL. , respondents . D E C I S I O N The parties assisted by their counsel submitted their Joint Motion for Judgment by Compromise, dated March 22, 1992, the terms and conditions of which are as follows: prcd 1. The parties hereby agree to sell the house and lot owned by the corporation and now registered under the name of the respondent RHODORA P. CUNANAN under Transfer Certificate of Title No. 126525 of the Register of Deeds of Pasay City. Out of the proceeds of said sale, the sum of P346,086.18 will be paid to complainant as reimbursement of her advances to the corporation. 2. Respondent will shoulder all the expenses for the sale of the corporate real property including past due and present real estate taxes, brokerage fees, capital gains tax, documentary stamps, and other expenses related to the sale. 3. Other existing equipment and machineries found in the house for sale as well as those in other places belonging to the corporation shall be returned to the Technology Livelihood Resource Center (TLRC). 4. It is likewise agreed that the corporation shall settle all its obligation to the third parties in the total amount of P646,390.87 as enumerated and described in Appendix 1 hereof. 5. The parties shall be separately responsible for the attorney's fees due to their respective counsel under their respective agreements. 6. The parties hereby mutually waive, renounce and quitclaim any claim or action against each other pertaining to their respective rights and interests in the corporation. It appearing that said Joint Compromise Agreement is not contrary to law, morals and public policy, the same is hereby APPROVED and Judgment is hereby rendered in accordance therewith.
