September 7, 1976 RULES ON UNIFORM LISTING For the purpose of having uniform listing in the Commercial/Industrial, Big or Main, and Small Boards of the operating stock exchanges, to avoid confusion that may arise as a result of variations therein, and in the interest and for the protection of investors, the Commission, pursuant to the powers vested in it under existing laws, hereby promulgates the following rules: 1. Commercial/Industrial Board Corporations falling under the general category of financial, commercial or industrial firms, or those which are not engaged in mining or oil ventures, applying for the listing of their securities in the stock exchanges shall be listed in the Commercial/Industrial Board and must comply with the following requirements: a) The company whose shares or securities are sought to be listed must be in actual operation; b) Par value of shares must be at least P1.00; * c) Issuer company must have at least 300 stockholders for mining or oil companies, 100 for all other companies, 15 stockholders for banks,. d) There must be so many shares fully paid the aggregate par value of which must be equal to at least 10% of the total paid-up capital; Provided, however, that the requirements under (c) and (d) above shall not be imposed in cases of additional listing. 2. Main or Big Board For listing in the Main or Big Board, the following criteria must be satisfied: a) The company whose shares or securities are sought to be listed in the Big Board must already be in commercial production; b) Has declared and paid dividends regularly for at least two consecutive years immediately prior to listing; c) The company must have at least 300 stockholders; d) There must be so many shares fully paid the aggregate par value of which must be equal to at least 10% of the total paid-up capital; Provided, however, that the requirements contained in (c) and (d) above shall not be applied in cases of additional listing. 3. Small Board The securities of any corporation sought to be listed in the stock exchanges which do not meet the requirements contained in Nos. 1(a) and (b) or 2(a) and (b) above shall be in the Small Board, Provided, that * a) There must be at least 300 stockholders for mining or oil companies, 15 for banks, and 100 for all other companies; and b) There must be so many shares fully paid the aggregate par value of which must be equal to at least 10% of the total paid-up capital. 4. Prior Registration Required In all cases of listing, prior registration of the shares or securities under Commonwealth Act No. 83, as amended, otherwise known as the Revised Securities Act, shall always be required, except where said shares or securities are of a class exempt under any of the provisions of Section 5 thereof. ** 5. Listing Fee The Commission shall charge a fee for original listing 1/10 of 1% of the aggregate value of the shares to be listed but in no case shall it be less than P500.00 or more than P2,000.00 and for additional listing 1/10 of 1% of the value of the additional shares to be listed but in no case shall it be less than P300.00 or more than P2,000.00 . 6. Transfer of Listing Transfer of listing of any security from the Small Board to the Commercial/Industrial Big Board, as the case may be, may, upon recommendation of the Stock Exchanges, be allowed by the Commission, provided the criteria contained in No. 2 above are fully complied with. On the other hand, any company, whose issues or securities are listed in the Commercial/Industrial Big Board, that ceases production for any reason shall, upon the recommendation of the Stock Exchanges, be transferred to the Small Board. 7. Trading Symbol Plates To facilitate trading in the Boards, and in order to optimize space utility, trading symbol plates shall have distinctive and visible stripes one centimeter wide painted one-half centimeter from the right end thereof with: Commercial/Industrial Board SKY BLUE; Big Board RED; and Small Board Yellow. The stripe shall be perpendicular from the top to the bottom of the plate. 8. Companies Whose Shares are Already Listed Companies whose shares are already listed in the Commercial/Industrial Board as of the date of promulgation of these rules but with par values of less than P1.00 are given one year from date of promulgation hereof within which to increase their said par values to at least P1.00 to conform with No. 1(b) above. Should they fail to comply herewith, they shall be transferred to the appropriate board as the Commission may deem proper. The following issues that are currently listed as of the date of promulgation of these rules shall be listed in the boards, as follows: LISTED COMPANIES* (Commercial/Industrial Board) 1. Any Exchange not complying with these rules shall be penalized by a fine of not less than One Thousand (P1,000.00) Pesos plus an additional amount not exceeding One Hundred (P100.00) Pesos per day for every day of delay. 10. Repealing Clause . All rules or circulars inconsistent herewith are hereby amended or revoked accordingly. 11. Effectivity . These rules shall be cited as SEC Rule BED 902A-2 and shall take effect fifteen days after they have been publicly promulgated by publication in at least two newspapers of general circulation throughout the Philippines and official notification of the existing stock exchanges. cdll (SGD.)
