2006 CITIZEN'S INVESTMENT ALERT DO's AND DON'Ts FOR INVESTORS (PAMPHLET * NO. 5) 04 X 2006 Investors Information Assistance & Publication Division Economic Research and Information Department * Pursuant to R.A. 6713 and Memorandum Circular 35 s. 2003 issued by the President on 17 March 2003, the SEC disseminates different pamphlets that give information about its mandate and functions, registration and reportorial requirements, fees and charges, and other relevant topics for the guidance of investors and the general public . "SEC at 70: Service, Excellence and Competence Through the Years . . ." Do's and Don'ts for Investors: 1 Be wary of unexpected telephone calls, letters, or even personal visits from people who offer quick-profit schemes that require your immediate investment. 2 Be suspicious of "inside information", hot tips, and rumors that supposedly will give you a big advantage over other, less knowledgeable investors. 3 Turn down money request accompanied by high-pressure warnings like "Tomorrow will be too late", "Positioning is important" or "Act now because there will soon be long waiting lists of others who want to take advantage of this golden opportunity". 4 Be wary of schemes that give emphasis on recruitment of members or "downlines", particularly if the product being offered is overpriced, as the same may be a disguised pyramiding scheme. 5 Do not engage in foreign currency trading unless you fully understand the mechanics or dangers of currency trading and can afford to lose your money (margin or security deposit). There is no such thing as a guaranteed return in currency trading. 6 Ask for a prospectus, offering circular, financial statement, or other similar document before you even consider investing. Then read the small print carefully, particularly on refund, and make sure you understand the terms thoroughly before signing any kind of commitment. 7 When in doubt, make no promises or commitment, no matter how tentative. Remember, "if it sounds too good to be true, it usually is". It is far better to wait and lose an opportunity than to take the plunge and lose everything. 8 Before making a commitment, get an opinion from your lawyer, stockbroker, accountant, or the appropriate government office. 9 Always demand official receipts in the name of the corporations or entities you are dealing with. 10 Note that a Primary SEC Registration only grants juridical personality. Avoid salespeople who: Pressure you into investing and/or borrowing money Promise you high returns with no explanation of risk Promise you access to 'secret' or 'exclusive' techniques for building wealth Lure you with free seminars only to hit you later with high fees If you've been caught out by a 'get rich quick' scheme that involves shares or investments, then contact the Securities and Exchange Commission. Investors Information Assistance & Publication Division Economic Research and Information Department Mga Bagay na Dapat Malaman para sa Proteksyon ng mga Namumuhunan 1 Mag-ingat sa pagtanggap ng mga tawag sa telepono, sulat, o personal na pakikipag-ugnayan sa mga taong nag-aalok ng malaking interes kapalit ng inyong mabilisang pagbibigay ng puhunan o pagsali sa kanilang negosyo. 2 Hindi dapat paniwalaan agad ang mga impormasyon o tsismis na nagmumula sa loob ng isang kompanya na diumano'y konti lamang ang dapat makaalam. Kunwari kayo ay magkakaroon ng kapakinabangan o bentahe laban sa ibang mamumuhunan upang lalo kayong mahikayat na sumapi sa negosyo nila. 3 Iwasang sumali sa mga negosyong nag-eengganyong magbigay agad kayo ng pera sapagka't minsan lamang ang oportunidad na inaalok nila kaya't kailangang samantalahin upang makinabang tulad ng iba na kunwari ay kumita na ng malaking halaga ng pera. 4 Mag-ingat sa pagsapi sa mga negosyo na kahalintulad ng mga 'pyramiding schemes'. Ang mga ito ay mang-oobliga na mag-recruit kayo ng mga miyembro (downlines) para lumaki ang inyong komisyon (overrides) mula sa mga maibebenta nilang mga produkto na kadalasan naman ay sobrang mahal ng halaga. 5 Huwag makisapi sa mga negosyong may kinalaman sa pakikipagpalitan ng pera ng iba't-ibang bansa (foreign currency trading), kung hindi naiintindihang mabuti ang kalakaran at peligro nito. Walang garantiya na maibabalik nga ang inyong puhunan, bagkus ay mas malaki ang posibilidad na kayo ay malugi rito. 6 Kailangang naiintindihan ang lahat ng impormasyon o detalye tungkol sa negosyong papasukan. Bago makisapi sa isang negosyo, humingi ng mga prospektus, katalogo, legal na dokumento, at kasulatan ukol sa pinansyal na kalagayan ng kompanya. Bago pirmahan ang anumang kasulatan, kailangang mayroong kasunduan na maari ninyong bawiin ang inyong pera na naaayon sa inyong kagustuhan. HCTEDa 7 Huwag magmadali sa pagdedesisyon. Kapag may pagdududa, iwasang maglahad ng inyong intensyong mamuhunan, maging ito man ay sa malapit na kinabukasan o sa ibang panahong hindi pa batid sa kasalukuyan. Mas makabubuti na ipagpaliban o huwag na lamang mamuhunan kaysa malugi sa isang negosyo. 8 Sumangguni sa mga mapagkakatiwalaang abogado, lehitimo o kinikilalang stock broker/dealer/agents (mga ahente na lisensyadong magbenta o mag-ayos sa pagbibilihan ng mga instrumento ng panagot o pamumuhunan) at sa tamang ahensiya ng pamahalaan bago magdesisyon na mamuhunan. 9 Bilang katibayan ng inyong pagbibigay ng puhunan, humingi ng opisyal na resibo (Official Receipt) mula sa mga kompanya o tao na inyong naka-transaksyon sa negosyo. 10 Alamin kung rehistrado ang isang kompanya mula sa Komisyon ng Panagot at Palitan o Securities and Exchange Commission (SEC). Ang negosyong maaaring pasukin ng isang kompanya ay dapat naayon sa lisensiyang ipinagkaloob ng SEC, lalo na kung ito ay tungkol sa pangangalakal ng pera, pagpapautang, pagbebenta ng mga instrumento ng pananalapi/kapital at iba pang mga kauring negosyo. Maaring alamin kung may kaukulang lisensiya ang isang kompanya at kung malinis ang rekord nito at hindi lumalabag sa mga batas o regulasyon na ipinatutupad ng SEC. "Mabagal at kulang sa konswelo ang mga makalumang paraan ng pagkakaperahan" "Magiging totoo ang pangarap mong yumaman" 'Wag palilinlang sa kinang ng tarheta o brochures, at diumano'y pagpapatotoo mula sa kanilang mga kliyente o kasapi. Mag-ingat sa mga ahente na Pipilitin kang maglagak o mangutang ng pera dahil: ADCIca May pangakong malaking tubo at walang pagkalugi May pangakong magbibigay ng lihim na paraan tungo sa pagyaman Nang-aakit sa pamamagitan ng mga libreng seminar subalit maniningil ng mahal na bayad sa bandang huli. Kung nabiktima kayo ng mga panlolokong nangako ng biglaang pagyaman sa pamamagitan ng pagsapi sa kanilang negosyo, makipag-ugnayan sa Securities and Exchange Commission. Maaari ding makipag-ugnayan sa Bureau of Trade Regulation and Consumer Protection ng Department of Trade and Industry kung ang pangloloko ay may kinalaman sa "pyramiding schemes".
