July 6, 2023 TO : All Financing and LendingCompanies That are Operating Online Lending Platforms Pursuant to SEC Memorandum Circular No.19, Series of 2019 (See AttachedList) IN RE : Registration of Financing and Lending Companies to the Credit Information Corporation and Submission of Related Documents ORDER WHEREAS, the Securities and Exchange Commission (SEC) exercises regulatory authority over Financing and Lending Companies (FCs and LCs) pursuant to Republic Act (RA) No. 8556 or the "Financing Company Act of 1998" (FCA) and RA No. 9474 or the "Lending Company Regulation Act of 2007" (LCRA); HTcADC WHEREAS, the SEC is mandated to carry out the state's policy under the FCA and LCRA to, among others, regulate the establishment of FCs and LCs to place their operation on a sound, efficient and stable condition to derive the optimum advantages from them as an additional source of credits, and to prevent and mitigate, as far as practicable, practices prejudicial to the public interest; WHEREAS, pursuant to SEC Memorandum Circular (MC) No. 19, Series of 2019, FCs and LCs are required to provide necessary information in their advertisements and Online Lending Platforms (OLPs) and Online Lending Applications (OLAs) to the SEC; WHEREAS, there are One Hundred Forty-Six (146) FCs and LCs that have reported their OLPs/OLAs pursuant to MC No. 19; WHEREAS, RA No. 9510 or the Credit Information System Act (CISA) created the Credit Information Corporation, a government-owned or -controlled corporation, with the mandate to receive and consolidate basic credit data, and act as a central registry or central repository of credit information, and shall provide access to reliable, standardized information on credit history and financial condition of borrower, whether individuals or corporations, in support of, and essential to the development of the financial market; WHEREAS, Section 3 (q) of RA No. 9510 defines a Submitting Entity as an entity that provides credit facilities, such as but not limited to Banks, Quasi-Banks, Trust Entities, Investment Houses, Financing Companies, Cooperatives, Non-Governmental, Micro-Financing Organizations, Credit Card Companies, Insurance Companies and government lending institutions; CAIHTE WHEREAS, CIC Circular No. 2, series of 2021, provides for the requirements and guidelines on online registration of Submitting Entities to the Credit Information Corporation; WHEREAS, FCs and LCs are companies that provide credit facilities, and are thus considered as a Submitting Entity; and WHEREAS, there is a need to improve differentiation among borrowers, and ensure that the credit worthiness of borrowers is the primary consideration for the pricing of the loan products offered; WHEREFORE, all FCs and LCs that are operating OLPs/OLAs are hereby ordered to register with the CIC within thirty (30) days from receipt of this Order or its publication, whichever is earlier, and submit their respective basic credit data as required in CIC Circular No. 2, series of 2021; 1 Non-compliance with this Order shall be penalized in accordance with existing laws, SEC MCs, and other relevant regulations. Such penalties shall include, but is not limited to, suspension and/or revocation of the Certificate of Authority to Operate as a Financing or Lending Company .
