August 31, 1982 Claudio Lopez, Inc. c/o Mr. Claudio Lopez 12th Street, Capital Subdivision Bacolod City Gentlemen : A verification of the records of the above-mentioned corporation on file with this Office disclosed that the term of existence of said corporation had already expired on February 2, 1979 pursuant to Article IV of its articles of incorporation which provides that the corporation shall exist for a term of 25 years from and after the date of incorporation, (February 3, 1954). As a consequence thereof, the corporation ceased to exist as a body corporate and is dissolved ipso facto.(16 Fletcher 671). Hence, it lost its legal personality to continue the business for which it was established. But it shall nevertheless be continued as a body corporate for purposes connected with the winding up and liquidation. (Section 122, Corporation Code). cdlex In view thereof, we are returning herewith Postal Money Order No. 0793521 in the amount of P50.00 which was remitted to this Office for payment of penalty for late filing of reportorial requirements.
