February 16, 1998 Mr. Vicente V. Tagle, Sr. Federation of Land Reform Farmers No. 15 Hillside Lane Blue Ridge, Quezon City S i r : This refers to your letter dated January 26, 1998 requesting this Commission to allow the Federation of Land Reform Farmers, Inc. (FLRS),whose corporate existence expired on January 29, 1998, to be re-incorporated. It is well-settled that upon the expiration of the term of existence of a corporation as originally fixed in the articles of incorporation, it ceases to exist as a body corporate for all legal purposes, except for purposes connected with the winding up and liquidation of its corporate affairs/assets. The corporate life of FLRS having already expired, the corporation is deemed dissolved. However, should the members desire to re-incorporate , it may do so by complying with the registration requirements under the Corporation Code re: filing of new articles of incorporation and by-laws accompanied by supporting documents required for registration.
