Escolta St.,Manila Gentlemen: The records of this Commission do not show up to this date that you have submitted the Code of By-Laws required by Section 46 of Batas Pambansa Blg. 68 otherwise known as the Corporation Code of Philippines, which reads: cdlex SECTION 46. Adoption of by-laws . Every corporation formed under this Code must, within one (1) month after receipt of official notice of issuance of its certificate of incorporation by the Securities and Exchange Commission, adopt a code of by-laws for its government not inconsistent with this Code. For the adoption of by-laws by the corporation, the affirmative vote of the stockholders representing at least a majority of the outstanding capital stock or of at least a majority of the members, in the case of non-stock corporations, shall be necessary. The by-laws shall be signed by the stockholders or members voting for them and shall be kept in the principal office of the corporation, subject to the inspection of the stockholders or members during office hours; and a copy thereof duly certified to by a majority of the directors or trustees and countersigned by the Secretary of the corporation, shall be filed with the Securities and Exchange Commission which shall be attached to the original articles of incorporation". In this connection, your attention is invited to the provision of P.D. 902-A, granting new power to this Commission to revoke or suspend the registration of a corporation, partnership, association falling under its jurisdiction upon any of the grounds provided by law or upon any of the following: "xxx xxx xxx "5. Failure to file by-laws within the required period". Considering that, according to the records of this Commission, your company has been in existence since July 13, 1976, your continued failure to file your by-laws with this Commission falls squarely within the intendments of the aforequoted provision of the new laws. Accordingly, you are granted a period of fifteen (15) days from date of receipt hereof within which to submit to this Office three (3) copies of your duly adopted and certified by-laws, together with the filing fee of P27.00.
