February 13, 1995 Mrs. Divinia B. Masa Young Women's Christian Association San Pablo City Madam: This refers to your letter of January 30, 1995 inquiring whether the Young Women's Christian Association of San Pablo City has the legal personality to make amendments to its by-laws independently from the national or mother association, the Young Women's Christian Association of the Philippines. cdlex Records show that YWCA San Pablo City was incorporated separately from YMCA of the Philippines. As such, the former has a separate and distinct legal personality from that of the latter. The former's separate incorporation as a chapter association enables it to exercise such powers, rights and privileges of a corporation granted under the Corporation Code, such as the power to adopt its own by-laws. However, since the former corporation is merely a chapter association, any amendment to its by-laws must necessarily conform with the by-laws of the mother association. Very truly yours, (SGD.)
