November 14, 1983 ABM Rice Mill c/o Brigido Aquino Taloy District, San Carlos City Pangasinan Sir : This refers to your letter dated October 10, 1983 relative to the amended articles of partnership of ABM RICE MILL filed on December 12, 1980 with this Commission. llcd A verification of the records of ABM Rice Mill disclosed that the term of existence of said company has already expired when the above-mentioned amended articles of partnership was filed with this Office. In this connection, Article 1830 the Civil Code of the Philippines provides, as follows: "ARTICLE 1830. Dissolution is caused: xxx xxx xxx (a) By the termination of the definite term or particular undertaking specified in the agreement." xxx xxx xxx The Articles of Partnership of the above-named company provides that the term of existence of the partnership shall be ten (10) years from and after June 22, 1966, the date of execution of the articles. The company, therefore, is deemed dissolved as of June 22, 1976 (10 years from and after June 22, 1966). Such being the case, the Commission can no longer act on your amended articles of partnership. However, should you desire to continue your partnership, new articles signed by the partners duly acknowledged before a Notary Public together with the following supporting documents may be submitted: 1. Undertaking to change partnership name (form enclosed) 2. Registration data sheet (form enclosed) The filing fees for said new Articles are: 1. Articles of Partnership 1/10 of 1% of the partnership's capital but not less than P200 nor more than P100,000. 2.
