Natividad 1 Building 2308 Pasong Tamo Ext., Makati Metro Manila S i r : This refers to your letter of March 23, 1994 inquiring whether Goulds Pumps (Phils.), Inc. is still required to have a professional mechanical engineer. The requirement was allegedly required by the SEC during its incorporation in 1967. Records on file with Commission do not show that such requirement was imposed by the SEC. However, please be informed that the registration of a corporation with the Commission only constitutes a grant by the Government of the power to act as a corporation. In some instances, the issuance of a secondary license or business permit from other government agencies is still necessary for a corporation to be able to engage in certain business activities, and in the issuance of such license or permit, the proper government agency is empowered to enforce necessary requirements prescribed by existing law, rules or regulations before the corporation is allowed to operate. Perhaps, the above-mentioned requirement was imposed by the government agency which granted the business permit to the corporations or which implements the law applicable to the business undertaken by the Corporation.
