July 7, 1982 Mrs. Leonida Vda. de Jabson 22 Bagong Katipunan Pasig, Metro Manila Madam: This has reference to your letter dated June 23, 1982, inquiring on the status of the Deed of Transfer executed by your late husband Jaime Jabson in favor of Mrs. Grace Amberti, of his rights, share and interest on the three corporations, Jon Jon Motor Works, Supreme Marble Development Co. and J.S.J. Construction. prcd From the facts of the case, please be informed that said Deed of Transfer is not on file with this Commission. There is, however, a Deed of transfer executed by Celso Deato, your husbands' former partner, in favor of Grace Amberti, Said Deed has not been acted upon by this Commission inasmuch as the same had already been abandoned and has not been refiled for failure of the party registrant to submit the necessary requirement on time. Likewise, the Amended Articles of Partnership executed by late husband Jaime Jabson and the new partner Grace Amberti has not been acted upon for the same reason. As regards your second query inquiring as to what action to take to enable you to succeed to your husband's share, please be informed that since there are only two (2) partners, your husband's death has automatically dissolved the partnership. You would have to make representations with your husband's partner to obtain your husband's share in the proceeds of the partnership. Please be guided accordingly. Very truly yours, (SGD.) JULIO A.
