July 2, 1999 Mr. Joseph Vincent T. Go Valencia, Lopez-Vito, Arungayan & Go Law Offices 127-AB St.,Elizabeth Centre Valeria Street, Iloilo City, 5000 S i r : This refers to your letter dated June 25, 1999 inquiring whether or not your client, who is a director in a corporation, may record the meeting(s) of the board of directors by means of a tape recorder, video recorder, or other similar device for the purpose of ensuring the integrity and accuracy of the minutes of said meeting(s). The Corporation Code is silent on the issue raised. Whether or not to allow the above situation is a matter of management discretion which the corporation itself should resolve and this determination should be made by the board of directors acting as a body and not by any of the directors individually. The corporation, through its board of directors, may adopt its own internal rules on the conduct of its meetings including directors' meetings, provided they do not run-counter to the provisions of the Corporation Code, its Articles of Incorporation and By-laws.
