Valdes & Associates CJVC Bldg., Aguirre Street Legaspi Village, Makati Metro-Manila Dear Mr. Rodulfa: This is in connection with your letter dated November 26, 1981 relative to your client, the Gamboa Hermanos, Inc. which seeks exemption from the application of SEC Letter dated April 8, 1981 prescribing that "a corporation desiring to adopt a business name or style other than its corporate name is required to state the business name or style in the Articles of Incorporation of the said corporation." It appears that because of said Letter, the Bureau of Domestic Trade has denied the registration of the franchise name "Agro Link Factors" for the Gamboa Hermanos, Inc. unless the name is reflected in an amended articles of incorporation; and that the problem arises because Gamboa Hermanos, Inc. intends to use the other business names depending upon the result of business operations and it would be impractical to keep on amending its articles of incorporation pursuant to said Memorandum Letter. In view of the foregoing reason, the Commission is constrained to grant your request. However, please be informed that the said Memorandum Letter is now subject to review by the Inter-government agency committee in order to delimit the application thereof.
