March 25, 1988 Bell Films, Incorporated Mezzanine Flr., Manufacturer's Bldg. Plaza Sta. Cruz, Manila Attention : Atty . Ramon Chuaying Exec . Vice-President Sir : This has reference to your letter dated February 16, 1988 requesting this Commission to advise Bell Records International Incorporated to change its name since you believe that it is confusingly similar to the name of your corporation. An examination of your records on file with this Commission shows that the primary purpose of Bell Records International Incorporated among others, is "to engage in the business of production, marketing and distribution of musical readings and musical composition." On the other hand, your primary purpose is "to distribute, produce, exhibit, preserve, advertise, and exploit therein attraction of various kinds and nature, including moving pictures, talking pictures, dramatic, operatic and circus, intellectual and instructive entertainments." From the above, it is clear that your corporation and Bell Records International Incorporated have different purposes. It is likewise worthy to mention a long-standing policy of the Commission to allow a corporation to use a corporate name similar to an existing one provided there are two or more distinct words therein. The pertinent provision of the SEC guidelines in the approval of Corporate and Partnership Names reads thus: "c) The name should not be similar to one already used by another corporation or partner ship. If the proposed name contains a word similar to a word already used as part of the firm name or style of a registered company, the proposed name must contain two other words different from the name of the company already registered." Considering therefore that "Bell Records International Incorporated" has met the above guideline, we regret therefore, to inform you that we cannot grant your request.
