March 10, 1982 Siguion Reyna, Montecillo and Ongsiako Law Offices A. Soriano Bldg., Ayala Avenue Makati, Metro Manila Gentlemen: This refers to your letter dated March 5, 1982 relative to your client, a hotel establishment, which seeks exemption from the coverage of SEC opinion dated April 1, 1981 addressed to E.S * . Castillejos of the Bureau of Domestic Trade, prescribing that "a corporation desiring to adopt a business name or style other than its corporate name is required to state the business name or style in the articles of the incorporation of said corporation. prcd It appears that the Bureau of Domestic Trade has denied the registration of the business name or style of your client involving the aforesaid SEC opinion; that the problem arises because said hotel establishment, by the very nature of its business, can never predict, much less foresee the specific name or style and the number of outlets it would subsequently operate; and that it would be impractical and cumbersome to continue amending its articles of incorporation only for the purpose of adding another business name or style. In view of the foregoing reasons which we find valid and justifiable, this Commission is inclined to grant your request. Please be informed also that the SEC opinion is now subject to review by an inter-government agency committee in order to delimit it the application/coverage thereof. We shall inform you and those similarly situated once we have arrived at a clear-cut policy of the matter. Very truly yours, (SGD.) ROSARIO N. LOPEZ Associate Commissioner * Copied verbatim from documents obtained directly from the Securities and Exchange Commission .
