Eufemio Director Bureau of Family and Child Welfare Ministry of Social Services and Development 389 San Rafael, Manila Madam : With reference to your letter-query dated 31 July 1980 relative to licensing of corporations, hereunder are the answers on the questions posed therein: 1. The Securities and Exchange Commission is the government agency which has authority to register corporations, partnerships and associations other than cooperatives and labor unions so that they can acquire legal personality. Unless required by special laws to secure a secondary license, an organization once registered with this Commission can already pursue the business specified in its articles of incorporation. 2. A SEC-registered organization in pursuing the objectives stated in its incorporation, may run an agency under a different name. Such agency need not be registered with the Securities and Exchange Commission but with the Bureau of Domestic Trade, Ministry of Trade. 3. A SEC-registered organization, in running "XYZ Children's Home" pursuant to its articles of incorporation and for purposes of providing care and shelter to neglected, abandoned children, is not required to register said project separately with this Commission.
