Gentlemen: This refers to your letter dated February 7, 1984 requesting for a change of your corporate/trade name from Greenbelt Brokerage Corporation to Greenbelt Philippines, Inc . Please be informed that verification of the records on file with the Commission disclosed the existence of a corporation registered with this Office with a similar name to that of your proposed name, the Greenbelt Square, Inc. Under paragraph (c) of the SEC Guidelines in the approval of Corporate and Partnership names, (a copy of which is hereto attached), a corporate name should not be similar to one already used by another corporation or partnership. If the proposed name contains a word similar to a word already used as part of the firm name or style of a registered company, the proposed name must contain two other words different from the name of the company already registered. Likewise, Section 18 of the Corporation Code requires that no corporate name may be allowed by the Securities and Exchange Commission if the proposed name is identical or deceptively or confusingly similar to that of any existing corporation or to any other name already protected by law. In view thereof, you are hereby advised to add to your proposed name two other words to differentiate it from the above-mentioned existing corporation. Be informed further that in order to legally effect a change in your corporate name, an amended articles executed in accordance with Sec 16 of the Corporation Code must be submitted to this Office.
