Caloocan City Sir : In reply to your letter requesting opinion relative to the validity of certain acts of the Board of Directors of Aeroterra, Inc., please be informed that as a matter of policy, we refrain from rendering opinions on queries the facts of which raise issues which may only be threshed out or resolved after a proper action is filed and supporting evidence is presented in connection therewith. Consequently, instead of rendering an opinion on said queries, we suggest that you file the necessary verified complaint with the Securities Investigation & Clearing Department of this Commission.
