October 17, 1988 Iglesia Espirita Veridica Del Espiritu Santo 265 General Luna Street Caloocan City Metro Manila Sir/Madam : This refers to your letter, dated October 13, 1988, inquiring if that corporation sole has violated any laws of the Corporation Code or any regulation of this Commission, particularly on the subject of filing of by-laws. A perusal of our records shows that Iglesia Espirita Veridica Del Espirito Santo was a pre-war corporation sole whose corporate records were duly reconstituted with this Commission on April 21, 1954. cdll Section 112 of the Corporation Code, paragraph 2 thereof reads as follows: "From and after the filing with the Securities and Exchange Commission of the said articles of incorporation, verified by affidavit or affirmation, and accompanied by the documents mentioned in the preceding paragraph, such chief archbishop, bishop, priest, minister, rabbi or presiding elder as the case may be, shall become a corporation sole, ...". Please be advised that a corporation sole is not required by law to file by-laws with the Commission. Neither do the rules and regulations of the Commission require such class of corporations to file any reportorial requirements with us, such as the general information sheet and financial statements. cdlex Please be advised accordingly.
