2016 SEC NOTICE SUBJECT : Transactions with the Corporate Governance and Finance Department (CGFD) TO : Issuers of Mutual Funds, Proprietary and Non-Proprietary Shares/Certificates, Corporations Covered by Corporate Governance Requirements, Financing Companies, Lending Companies and Foundations Please be informed that the following transactions of the Corporate Governance and Finance Department (CGFD) will be done through our Officers of the Day (ODs) in our EDSA Building in Ortigas: 1. Issue clearance/comments for Articles of Incorporation (AOI) and By-laws and the amendments thereof; 2. Answer queries regarding companies monitored by the CGFD; 3. Pre-evaluation of Registration Statements/Information Statements; 4. Receive documents (those required to be filed with the Electronic Records Management Division should still be directly filed with it); and 5. Prepare Payment Assessment Forms (PAFs). Please take note that documents subject to monitoring/review will be transmitted to the assigned processor in our Philippine International Convention Center (PICC) Office.
