April 5, 2021 SEC NOTICE TO : All Concerned SUBJECT : New Company Registration System Please be advised that the Securities and Exchange Commission (SEC) will implement a new company registration system called the Electronic Simplified Processing of Application for Registration of Company (ESPARC). Starting 19 April 2021, new applications for registration of One Person Corporations, Corporations with 2-4 Incorporators, and Regular Domestic and Foreign-Owned (Stock and Non-stock) Corporations must be submitted using the ESPARC. Meanwhile, applications for registration of partnerships and foreign corporations will continue to be accepted and processed under the Company Registration System (CRS). Applications for registration submitted in the CRS prior to 19 April 2021 will still be processed in the CRS, unless the applicant is notified by the SEC Processing Officer to resubmit the application using the ESPARC.
