SEC-ZEO Notice Re: Corporation Bylaws

2022 SEC NOTICE ZAMBOANGA EXTENSION OFFICE The Securities and Exchange Commission Zamboanga Extension Office (SEC-ZEO) has received information that some local banks are requiring SEC registered stakeholders to comply with some documentary requirements which are not directed by this Commission, which have caused delay in their banking transactions and incur additional costs, i.e. , certification fee. Therefore, this is to inform the public that a corporation need not amend its Bylaws to reflect its new corporate name if an amendment to the articles of incorporation changing its corporate name shall have been approved by the Commission earlier, unless there is a corresponding article in the Bylaws concerning the corporate name. Furthermore, One Person Corporation is not required to submit and file its corporate by-laws under Section 7 of the SEC Memorandum Circular No. 7, Series of 2019. In addition, OPC is not required to submit its annual General Information Sheet but instead submit to the Commission a notarized Form for Appointment of Officers.
