August 10, 2022 SEC NOTICE SUBJECT : Mandatory Disclosure Form (MDF) Submission from September 1, 2022 Onwards Notice is hereby given to all Non-Stock Corporations required to submit the Mandatory Disclosure Form (MDF) pursuant to Memorandum Circular No. 25, series of 2019 that as a precautionary measure, in view of the resurgence of COVID-19 infections, and in line with the policy of the Commission to implement an electronic filing and monitoring system, the physical submission of the hard copy of the MDF shall no longer be required, effective immediately . To those who have not yet submitted the MDF, please be informed that starting 1 September 2022 only scanned copies of the printed and notarized MDF sent through email will be accepted. The procedure in submitting the MDF shall be as follows: a. After filling out the MDF online and receiving the accomplished MDF via email, the said MDF shall be printed and notarized and the printed and notarized MDF shall be scanned. b. The scanned copy of the printed and notarized MDF must be sent in Portable Document Format (PDF) to the following email address: [emailprotected] c. The following information shall be indicated in the subject field of the email: MDF submission-(company name) (date of online submission: mm/dd/yy) . d. The sworn undertaking to submit a hard copy of the MDF shall no longer be required. Instead, the original printed and notarized MDF shall be kept at the principal office of the corporation. e. The official company email address used in filling out the MDF online must be used in submitting the scanned copy of the MDF for verification purposes. All communications and acknowledgments from the SEC may thereafter be sent through such official company email address and the entity concerned is charged with the responsibility of maintaining the same. Any change in the company's official email address shall be immediately communicated to the Enforcement and Investor Protection Department (EIPD) by its Corporate Secretary subject to verification as to its authenticity. Until then, all communications sent to the official company's email address as appearing on record shall be deemed to have been received by said company. f. The scanned notarized MDFs sent through electronic mail shall be deemed to have been filed on the date the electronic mail was sent provided the said scanned notarized MDFs are actually received by the SEC. g. An email acknowledging receipt thereof shall be sent to the company filing the MDF through its official email address.
