2010 IN THE MATTER OF THE CEBU AIR, INC., registrant . REGISTRATION OF SECURITIES NOTICE Notice is hereby given that on February 18, 2010, a sworn statement was filed with the Securities and Exchange Commission on behalf of Cebu Air, Inc. for the registration of the following securities: a) 125,253,600 new common shares (the "Primary Offer Shares") with par value of P1.00 to be offered at an offer price of up to P95.00; (b) 110,309,300 issued and outstanding common shares owned by the Selling Shareholder (the "Secondary Offer Shares") to be offered on the same terms and conditions as the Primary Offer Shares: (c) up to 35,334,400 issued and outstanding common shares owned by the Selling Shareholder subject to the Over-Allotment Option granted to the Stabilizing Agent under the same terms and conditions as the Primary and Secondary Offer Shares; (d) up to 18,390,088 new common shares to be offered pursuant to Cebu Air, Inc.'s Executive Stock Option Plan (ESOP) at the initial public offering price per share less a discount of up to 25% as determined by the Corporation at the time of the grant with respect to the first Option Cycle and no less than 75% of the Fair Market Value of the Shares for any succeeding Option Cycles (as defined in the ESOP) per share; (e) up to 2,000,000 new common shares to be offered pursuant to Cebu Air, Inc.'s Employee's Stock Purchase Plan at a subscription prime based on fair market value less a discount of 20% to 40% to be determined by the Corporation on or about the time of subscription; and (f) 436,931,050 issued and outstanding shares which will be listed.
