In the Matter of Requests for Copy of the Beneficial Ownership (BO) Declaration Page in the General Information Sheet (GIS)

2021 SEC NOTICE IN THE MATTER OF REQUESTS FOR COPY OF THE BENEFICIAL OWNERSHIP (BO) DECLARATION PAGE IN THE GENERAL INFORMATION SHEET (GIS) BENEFICIAL OWNERSHIP INFORMATION Beneficial Ownership (BO) Information as required to be disclosed in the General Information Sheet (GIS) refers to information on the natural person who ultimately owns or controls or exercises ultimate effective control over the corporation. (SEC MC No. 15, Series of 2019.) ACCESS TO BENEFICIAL OWNERSHIP INFORMATION Competent authorities in the Philippines and other countries with existing data sharing agreements or Memorandum of Agreements/Understanding (MOA/MOU) on information sharing with the SEC may be furnished copies of the BO Declaration page in the GIS upon request. Competent authorities without a data sharing agreement or MOA with the SEC intending to gain access to the BO Declaration page in the GIS will be asked to enter into such data sharing agreement or MOA. A foreign competent/law enforcement authority of any country whose laws grant reciprocal assistance to the Philippines may likewise be furnished a copy of the BO Declaration page. Similar access shall also be granted to competent authorities of foreign jurisdictions which are signatories to the International Organization of Securities Commission's Multilateral Memorandum of Understanding Concerning Consultation and Cooperation and the Exchange of Information (IOSCO MMoU). REQUEST FOR BENEFICIAL OWNERSHIP INFORMATION All requests for a copy of the BO Declaration page shall be made through a formal letter signed by the Head of the Agency or his/her duly authorized representative addressed to: THE DIRECTOR ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SECURITIES AND EXCHANGE COMMISSION G/F SECRETARIAT BUILDING, PICC COMPLEX PASAY CITY 1307 PHILIPPINES The request shall indicate the name, position, address and contact information of the official or authorized representative of the requesting authority and the name of the corporation whose BO Declaration page in the GIS is being sought and the purpose for which the information is being requested. REQUESTS FROM THE PUBLIC Section 3 of SEC Memorandum Circular No. 15, Series of 2019 expressly provides that BO Information shall only be made accessible or available to competent authorities for law enforcement and other lawful purposes. Hence, such information shall not be made available to the public.
