March 17, 2022 SEC NOTICE TO : All Concerned SUBJECT : System Maintenance of the SEC eSPARC Please be informed that the SEC Electronic Simplified Processing of Application for Registration of Company (eSPARC) will not be available from 19 March 2022 (Saturday), 8:00AM, to 20 March 2022 (Sunday), 8:00PM , for a scheduled system upgrade and implementation of the following new modules: Facility for applicants to upload scanned copies of signed and authenticated 1 /notarized copies of registration documents prior to payment Facility for applicants to upload scanned copies of proof of over-the-counter payments at Land Bank of the Philippines (LBP) or SEC Cashier at Baguio Extension Office and Bacolod Extension Office 2 Issuance of digital Certificate of Incorporation (COI) upon successful confirmation of payment Starting 21 March 2022, except for partnerships, lending companies, financing companies and foreign corporations, all applications filed and pre-approved through the eSPARC Regular Processing will be notified to upload and submit scanned copies of signed and authenticated 1 /notarized copies of Articles of Incorporation or Partnership, By-Laws, and other registration documents. The submitted documents will be reviewed for completeness and consistency with the pre-approved application form. Once the documents are reviewed and accepted, the system will send an email notification informing the applicant/s that their application is qualified for payment, including the link to download the Payment Assessment Form. Payment can be made online through the Electronic System for Payment to SEC (eSPAYSEC) or over the counter at SEC Cashier or selected LBP branches. In case of over-the-counter payment at SEC Baguio EO, SEC Bacolod EO or LBP branch, applicants will be required to upload scanned copies of the proof of payment (official receipt or machine-validated deposit slips). Once payment is successfully confirmed, the system will send an email notification containing the link to download the digital COI and the link to continue the registration process with the Bureau of Internal Revenue, Social Security System, Pag-IBIG, PhilHealth and other government agencies via the Central Business Portal. The original COI shall be released upon presentation and submission of the digital COI and any proof of payment of the required fees together with four (4) sets of the originally signed and notarized/authenticated/apostilled hard copies presented anytime within a period of sixty (60) calendar days from the date stated in the digital COI . In relation to this, please be guided of the following actions for transition: Applicants whose applications have been qualified for payment prior to the system upgrade should proceed in paying the registration fees. The proof of payment, together with the signed and authenticated/notarized/apostilled copies of the registration documents, should be submitted to the selected processing office for the issuance of the Certificate of Incorporation. Applicants that have already paid their registration fees prior to the system upgrade should submit the proof of payment, together with the signed and authenticated/notarized/apostilled copies of the registration documents, to the selected processing office for the issuance of the Certificate of Incorporation. Applicants that have already submitted the proof of payment, and the signed and authenticated/notarized/apostilled copies of the registration documents to the selected processing office prior to the system upgrade should just wait for the notice for the availability/issuance of the Certificate of Incorporation. Applications that are in draft, pending SEC review or were disapproved prior to the system update should follow the new processing modules. Please note that the new modules are applied only to SEC Regular Processing and that the processing of applications filed through SEC One-day Submission and E-registration of Companies (OneSEC) remains the same.
