December 19, 2017 SEC NOTICE NOTICE OF SETTLEMENT AGREEMENT The Securities and Exchange Commission wishes to announce to the public that HEALTH GLOBAL INTERNATIONAL, INC. Doing Business under the Name and Style of COMMONWEALTH HOSPITAL AND MEDICAL CENTER has entered into a settlement agreement with the Commission. The total Settlement Offer amounting to THREE MILLION FOUR HUNDRED SIXTY-FIVE THOUSAND PESOS (Php3,465,000.00) has been accepted by the Commission in SEC Resolution No. 854, series of 2017. This Notice is in compliance with Section 55.3 (Settlement Offers) of Republic Act No. 8799, otherwise known as The Securities Regulation Code , which states that "any agreement to settle shall have no legal effect until publicly disclosed." Thus, the case is now deemed settled without any determination of fault or guilt on the part of the HEALTH GLOBAL INTERNATIONAL, INC.
