January 13, 2020 SEC NOTICE TO : All Concerned SUBJECT : Online and Manual Submission of "Notice to Retain Specific Corporate Term" Please be informed that pursuant to SEC Memorandum Circular No. 22, series of 2020, existing corporations, registered prior to the effectivity of the Revised Corporation Code (RCC) on February 23, 2019, who intend to retain their specific corporate term, may file electronically their Notice to Retain Specific Corporate Term with the attachment of Director's Certificate "on or before February 23, 2021" through the email: [emailprotected] Further, note that the hard copies of said Notice and Director's Certificate must also be formally filed through the Company Registration and Monitoring Department (CRMD) Receiving Unit, for the issuance of a Certificate of Filing Notice to Retain Specific Corporate Term , subject to payment of Certification fees. Corporations who fail to submit the said Notice by Feb. 23, 2021, shall be deemed to have selected a perpetual term.
