May 15, 2017 SEC-MSRD ORDER NO. 20, S. 2017 IN THE MATTER OF EAGLE CEMENT CORPORATION , registrant . INITIAL PUBLIC OFFERING ORDER OF REGISTRATION Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed on behalf of EAGLE CEMENT CORPORATION , the Commission resolved in its meeting on April 20, 2017 to render effective the same for the registration of up to 5,000,000,005 Common Shares in accordance with Sections 8 and 12 of the Securities Regulation Code and its Implementing Rules and Regulations. The shares are broken down as follows: 1. 500,000,000 Common Shares that shall be offered and sold by way of a primary offering at an offer price of P15.00 per share; 2. Up to 75,000,000 Common Shares as Over-Allotment Option by way of a secondary offer at an offer price of P15.00 per share; 3. 4,425,000,000 issued and outstanding common shares which shall not be included in the offer; and 4. 5 (five) common shares in the treasury . Let a Certificate of Permit to Offer Securities for Sale be issued in favor of subject company authorizing the sale and distribution of the shares. Let this Order be published at the expense of the Issuer in a newspaper of general circulation and uploaded in its website within two (2) business days from its issuance.
