January 4, 2017 SEC-MSRD ORDER NO. 1, S. 2017 IN THE MATTER OF REPUBLIC CEMENT & BUILDING MATERIALS, INC. (FORMERLY: LAFARGE REPUBLIC, INC.) PETITION FOR VOLUNTARY REVOCATION ORDER OF REVOCATION The records on file with this Commission show that: HTcADC 1. On October 21, 2016, Republic Cement & Buildings Materials, Inc. ("Republic Cement") filed a Petition for Voluntary Revocation of Registration of Securities and Certificate of Permit to Sell Securities to the Public dated October 21, 2016. 2. In support of its Petition for Voluntary Revocation, Republic Cement argued that: i. There is no reason to believe that a stockholder of the company will be unduly prejudiced by the revocation of its Certificate of Permit to Offer Securities for Sale and Registration of Securities; ii. Petitioner presently has less than 200 stockholders holding at least 100 shares each and, as such, it does not meet the definition of a public company under SRC Rule 3.1.16; and iii. The voluntary revocation of its Certificate of Permit to Offer Securities for Sale and Registration of Securities will simplify certain processes and save on resources and administrative expenses incident to being a public company or a company whose shares are registered under the securities laws. 3. The Commission, in its December 15, 2016 meeting, resolved to: i. GRANT the Voluntary Revocation of Registration of Securities and Certificate of Permit to Sell Securities of Republic Cement; and ii. RELIEVE the Company from its reporting obligations under Section 17.2 of the Securities Regulation Code. Let a Copy of this Order of Revocation be published once in a national newspaper of general circulation at the expense of the company, and/or uploaded at the Commission's website. SO ORDERED.
