July 3, 2020 SEC MSRD TO : All Publicly Listed Companies (PLC) and Other Companies with Registered Securities under MSRD's Supervision (Collectively referred to as "Concerned Companies") SUBJECT : Filing of 17-A and/or 17-Q Reports NOTICE On March 12, 2020, the Commission issued Memorandum Circular No. 5, Series of 2020 ("MC 5, s. 2020") extending the filing of SEC Forms 17-A (2019 annual report) and 17-Q (2020 first quarter report), until June 30, 2020 or 60 days from the date of lifting of travel restrictions (if company has foreign operations). In this connection, the Commission issued Notices on March 18, 2020 and April 3, 2020 to relax certain requirements. Despite the aforesaid postponement, Concerned Companies, or through their representatives, have filed queries for additional extension with the MSRD. Considering that the Implementing Rules and Regulations of the Securities Regulation Code (SRC IRR) already provides for a mechanism (SEC Form 17-L) to extend the filing of subject reports and, in view of the lapse of the period provided under MC 5, s. 2020, Concerned Companies are given five (5) days from issuance of this Notice to file their respective SEC Form 17-L. Concerned Companies are reminded that non-filing of the subject reports within the prescribed period is an actionable event. The happening of such an event shall be treated accordingly on a case to case basis. Finally, the Concerned Companies are directed to file the particular SEC Form with the PSE Edge (for PLCs) or [emailprotected] (for issuers of securities under MSRD supervision). Please be guided accordingly.
