December 24, 2008 SEC EN BANC CASE NO. 11-08-0557 IN THE MATTER OF GEOS, INC. SEC REGISTRATION NO. AS94003725 FOR : Setting Aside the Order of Revocation of the Certificate of Registration O R D E R Petitioner, GEOS, INC., is a stock corporation registered with the Commission on 26 April 1994, under SEC Registration No. AS94003725, with principal office address at 86 Harvard St., Cubao, Quezon City, engaged in management consultancy services business, as stated in its Articles of Incorporation. On 3 November 2003 its Certificate of Registration was revoked by the Commission, by virtue of SEC Order dated 30 September 2003, published on 4 October 2003 in the Philippine Daily Inquirer, for non-filing of reports. Petitioner now prays for the setting aside of the Order of Revocation dated 30 September 2003, on the following grounds: 1. that it is operational and has clientele which rely on Petitioner's expertise in the highly technical areas of management, investment and manufacturing; 2. that it has no intention to violate the law and any of the SEC rules and regulations; 3. that it shall henceforth submit reportorial requirements religiously; and 4. that it intends to continue its registration with the Commission. In support of its Petition, Petitioner submitted the following documents: * 1. Directors' Certificate dated 22 October 2008 certifying that at the special meeting of the Board of Directors held on 15 September 2008, in Quezon City at which a quorum was present, the resolution allowing the filing of the Petition to Set Aside Order of Revocation was approved; 2. Photocopy of its 2008 Business Permit, City of Manila; 3. Photocopy of its 2007 Annual Income Tax Return, received by the BIR on November 10, 2008; and 4. Duplicate copy of Petitioner's Official Receipts Nos. 218, 219, 220, 221, 222, 224, 225 and 226 issued on various dates in 2008 to Adamah Development Corporation, A.G. Araja Construction and Development Corporation, Pilipinas Shell Petroleum Corporation and Siemens Power Operations. cACHSE Petitioner submitted its 2008 General Information Sheet and 2007 Financial Statements to prove its intention to continue its registration with the Commission. It also commits to immediately pay the fines as due. On 19 November 2008, Petitioner paid the fine of Php21,700.00, under Official Receipt No. 0232819, for non/late filing of the following, on the years indicated hereunder: Not Filed Filed Late General Information Sheet 1996-2007 Financial Statements 1996-2002, 2005-2006 2007 WHEREFORE, finding the submitted documents sufficient to establish that Petitioner is presently operational and its intent to continue as a juridical entity, the Order of the Commission dated 30 September 2003, revoking the Certificate of Registration of the GEOS, INC., is hereby SET ASIDE.
