August 11, 2008 SEC EN BANC CASE NO. 11-07-0272 IN THE MATTER OF THE PRESBYTERIAN CHURCH (REFORMED) IN THE PHILIPPINES, INC., SEC REGISTRATION NO. CN092-000192 , petitioner. FOR: SETTING ASIDE THE ORDER OF REVOCATION O R D E R Petitioner, THE PRESBYTERIAN CHURCH (REFORMED) IN THE PHILIPPINES, INC., is a non-stock corporation registered with the Commission on 16 June 1992, under SEC Registration No. CN092-000192 with principal office at Cantil-e, Dumaguete City, Negros Oriental Philippines. Its purpose, as stated in its Articles of Incorporation, is for the administration of the affairs, properties and temporalities of the religious corporation. On 03 November 2003, its Certificate of Registration was revoked by the Commission, by virtue of SEC Order dated 30 September 2003, published on 04 October 2003 in the Philippine Daily Inquirer, for non/late filing of reports. Petitioner now prays for the setting aside of the said Order of Revocation dated 30 September 2003, on the ground that despite its failure to file the annual reports because of hectic schedules, it continues to run the ministry since its incorporation. ITADaE In support of its Petition, Petitioner submitted the following documents: 1 1. Synopsis dated 11 March 2008 of the history of the Petitioner from the time of its establishment and the development that occurs from time to time, prepared by its secretary Mechelle Alambatang; 2. Photocopy of the 2008 Mayor's Permit issued by the Office of the City Mayor of Dumaguete on 10 March 2008; 3. Trustees' Certificate dated 15 October 2007, certifying that at the joint meeting of the members and the Board of Trustees held on 01 September 2007, at Dumaguete City Mission House, at which a quorum was present, the resolution allowing the filing of Petition to Set Aside the Order of Revocation was approved unanimously by the members and trustees; 4. Photocopy of the Annual Income Tax Return for the year ended December 2006 received by the Revenue District Office of Dumaguete City on 16 April 2007; 5. Photocopy of the clippings of the various church activities for the years 1992-2008; and TcSHaD 6. Photocopy of the Petitioner's promotional leaflet. Petitioner submitted its 2007 General Information Sheet and 2006 Financial Statements to prove the intention to continue its registration with the Commission. The Petitioner also manifested that it has no intention to violate the law and that it commits to immediately pay the fines due. On 07 November 2007, the corporation paid the fines of Php13,650.00, the amount assessed by the SEC Cebu Extension Office, under Official Receipt No. 5488722, inclusive of the following: NOTED DEFICIENCIES YEARS COVERED REQUIREMENTS NOT FILED FILED LATE General Information Sheet 1996, 1998-2006 2007 Financial Statements 1996, 1998-2005 1997, 2006 WHEREFORE, finding Petition meritorious, the Order of the Commission dated 30 September 2003, revoking the Certificate of Registration of The Presbyterian Church (Reformed) in the Philippines, Inc., is hereby SET ASIDE. DSEaHT Let a copy of this Order be furnished the Corporate Filing and Records Division of the Company Registration and Monitoring Department for attachment to the corporate records of the Petitioner on file with Commission. The Economic Research and Information Department is hereby directed to delete the name of the Petitioner from the list of revoked corporations immediately upon receipt of this Order. SO ORDERED.
