January 24, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that LIVEWELL MULTI-VENTURES and the individuals offering investments under its name are NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC. The Securities and Exchange Commission ("Commission") has noticed that individuals or group of persons is soliciting from the public to invest in LIVEWELL MULTI-VENTURES , an unregistered entity purportedly engaged in advertisements, trading, agriculture, manufacturing, and logistics operations. The entity entices the public to invest online or through the internet by availing either the Tester Plan, Home Starter, and Eagle Plan by investing Php500.00, Php5,000.00, and Php50,000.00, respectively, to earn a fixed daily income of 3% for 60 days or for a total of 180% in just 2 months . It appears that LIVEWELL MULTI-VENTURES , an entity not registered as a corporation or partnership with the Commission, is engaged in fraudulent transactions by soliciting, offering, and/or selling of unregistered securities from the public in the form of investment contracts without the necessary license in violation of Sections 8, 12 and 28 of the Securities Regulation Code (SRC). Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code of the Philippines and such other laws, rules and regulations enforced by the Commission . Those who act as salesmen, brokers, dealers, agents, representatives, solicitors, operators, promoters, recruiters, uplines, influencers, endorsers, abettors and enablers of LIVEWELL MULTI-VENTURES in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC (G.R. No. 195542, 19 March 2014) . In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by LIVEWELL MULTI-VENTURES as well as to any other entities having the same or similar schemes and to exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of LIVEWELL MULTI-VENTURES .
