February 28, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that AGRI MARINE VENTURES and the individuals offering investments under its name are NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC. The Securities and Exchange Commission ("Commission") has noticed that individuals or group of persons are soliciting from the public to invest in AGRI MARINE VENTURES , an unregistered entity with this Commission purportedly engaged in farming, poultry, piggeries, fisheries, and wet market, through its President-CEO ART CAPUNITAN BERROYA . The said entity uses the following logo: The entity is using its DTI registration to put a color of legitimacy as to its purported business activity. The entity entices the public to invest online or through the internet with a guaranteed income. Hereunder are its 4-ways to earn: 1. Farming where an investor-member may invest either or both in AGRI FARMING (investments ranging from Php10,000.00 and above) and MARINE FARMING (minimum investment of Php500.00 up to Php9,999.00) where his/her investment will earn double in 30 days . 2. Direct Referral Bonus where an investor-member who shall recruit to invest in the entity is entitled to a referral bonus equivalent to 10% (for investments ranging from Php500.00 to Php9,999.00) and 15% (for investment amounting to Php10,000.00 and above) of the investment of such recruited investor. 3. Unilevel where an investor is entitled to .5% from the 2nd up to the 5th level, and 1% from 6th to the 10th level of the investment of the newly-recruited investor-member whenever the subsequent recruits of the earlier investor-member were able to recruit. 4. Rising Cycle where an investor-member who shall finish the 30-day cycle OR who has earned a total direct referral bonus accumulating to Php5,000.00, is entitled to earn Php2,000.00 whenever the 6 slots under his/her account has been filled. Note however that it is the company who shall randomly fill the slots. The aforementioned scheme of AGRI MARINE VENTURES vis--vis ART BERROYA seems to be fraudulent as it is involved in the solicitation, offering, and/or selling of unregistrable securities from the public. The activity of AGRI MARINE VENTURES vis--vis ART BERROYA does not have the requisite secondary license and the said schemes can never secure the necessary license or permit for such offering and/or selling of securities to the public and that the same is in violation of Sections 8, 12 and 26 of the Securities Regulation Code (SRC). Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code of the Philippines and such other laws, rules and regulations enforced by the Commission . Those who act as salesmen, brokers, dealers, agents, representatives, solicitors, operators, promoters, recruiters, uplines, influencers, endorsers, abetters and enablers of AGRI MARINE VENTURES vis--vis ART BERROYA in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC (G.R. No. 195542, 19 March 2014) . In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by AGRI MARINE VENTURES vis--vis ART BERROYA as well as to any other entities having the same or similar schemes and to exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of AGRI MARINE VENTURES vis--vis ART BERROYA .
