March 31, 2022 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Securities and Exchange Commission ("Commission") has received information that individuals or group of persons representing ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH have been soliciting investments from the public. Based on information gathered by the Commission, ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH through its President/Owner Mr. Noel Tamagos is enticing the public to invest their money in ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH where a person can earn through watching video ads. This scheme appears to be operated by ADSCITY ADVERTISEMENT MARKETING under its DTI Business Certificate No. 3532302 issued on 26 January 2022 operated by NOEL BATOY TAMAGOS JR. A video publicly available in Facebook showed Mr. Tamagos promoting the ADSCITY NATION subscription plans, to wit: 1) ALPHA and 2) BETA plans. These plans were subdivided into categories namely: 1) Apprentice; 2) Novice; 3) Elite; and 4) Executive where investors need to pay/invest amounting to either Php500.00, Php5,000.00, Php50,000.00, and Php100,000.00, accordingly to the chosen plan. Investors after placing their monies are required to watch, allegedly, advertising videos which are available in ADSCITY NATION 's platform in 35 days. In turn, the investor would receive profit ranging from Php1,750.00 up to Php175,000.00 or an income from 75% to as high as 250% in just 35 days . After sometime, ADSCITY NATION 's programs (ALPHA and BETA plans) were later re-branded/merged into META subscription plans. Examination of these plans would show an increase in the guaranteed income in a shorter period to continue to entice the public, that is, earnings of 200% in just 15 days All the investment and monthly trade profit share can be viewed in the ADSCITY NATION website. To register, the prospective-clients were instructed to do the following: and to pay thru the following banks: Metrobank, Union Bank of the Philippines and GCASH under the account name of Noel Batoy Tamagos Jr. or Noel Tamagos. Further, investors of ADSCITY NATION are further enticed by rewarding those who publicly offered ADSCITY NATION scheme through its different ways to earn additional profits through the following schemes: 1) referral income (50% for each referral) and 2) Indirect referral (1% bonus infinite). It even offered a series of programs to acquire fresh new capital: It appears that other than its public offering in a number of social media pages, ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH seems to operate https://adscitynation.com/login.aspx . The categories/plans offered by ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH clearly falls under the definition of investment contracts which is mandated by Republic Act No. 8799 or the Securities Regulation Code of the Philippines to be registered with the Commission before these securities are offered to the public. ADSCITY NATION/ADS CITY NATION/ADSCITYNATIONPH is not authorized to solicit investments from the public as it is NOT REGISTERED with the Commission and cannot therefore secure prior registration and/or license to solicit investments from the Commission as prescribed under Section 8 of the Securities Regulation Code. Accordingly, those who invite or recruit other people to join or invest in this venture or offer investment contracts or securities to the public may be held criminally liable under Section 28 of the SRC penalized with a maximum fine of Five Million Pesos (P5,000,000.00) or imprisonment of Twenty One (21) years or both pursuant to Section 73 of the SRC ( SEC vs. Oudine Santos , G.R. No. 195542, 19 March 2014). The public is hereby warned that such investment schemes are considered as securities subject to the regulatory authority of this Commission.
