June 30, 2020 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Securities and Exchange Commission ("Commission") has received information that individuals or group of persons representing ST. JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION/THE SAINT JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION OF THE PHILIPPINES, INC. is operating and inviting members to join its project/program for free. Investigation disclosed that it announces that a member will enjoy a 5,000 worth of grocery items every month (pautang), declares that it will purchase a 100 hectares of land for future housing/agricultural building project/program and offers invitation to 21-year-old males agricultural graduates or undergraduates, to apply in its program where they will be sent to Israel to train for six (6) months (all-expense paid, i.e. , travel and housing and with $1,000.00 allowance) in exchange of personal information . HTcADC The public is hereby WARNED that ST. JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION OF THE PHILIPPINES, INC.'s Certificate of Registration as a corporation was REVOKED on 3 February 2003 for non-compliance with SEC annual reportorial requirements. It appears that its board of trustees is using and adopting the name THE SAINT JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION OF THE PHILIPPINES, INC. ("THE SAINT JOHN") with SEC Registration No. ANO92-002217 in its activities without authority from the Commission. The public is hereby WARNED that any matter entered into by a revoked corporation that is not for the purpose of liquidation will be a void transaction because of the non-existence of the corporate party . Thus, the public is advised NOT TO JOIN in any scheme offered by any individuals/agents/entities representing ST. JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION OF THE PHILIPPINES, INC./THE SAINT JOHN OF JERUSALEM KNIGHTS OF MALTA FOUNDATION OF THE PHILIPPINES, INC. or its affiliates who are engaged in similar activities which are not compliant with the Commission. Violators are warned that aside from the strict penalties imposed by the Commission for violations of the Securities Regulation Code, the Revised Corporation Code, and such other rules and regulations it enforces, the Bayanihan to Heal as One Act (Republic Act No. 11469) also punishes those participating in cyber incidents that make use or take advantage of the current crisis situation to prey on the public through scams, phishing, fraudulent e-mails, or other similar acts .
