May 23, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that PROLAYER EGG LAYER POULTRY FARMING and the individuals offering investments under its name are NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC. CAIHTE The Securities and Exchange Commission ("Commission") has noticed that individuals or group of persons are soliciting investments from the public in PROLAYER EGG LAYER POULTRY FARMING , an unregistered entity with this Commission purportedly engaged in egg poultry farming business by its CEO/Founder ANTHONY PASCUAL EBUSCA (known as ANTON EBUSCA in Facebook) , through social media platform. The entity is using its DTI registration to put a color of legitimacy as to its purported business activity. aScITE The business opportunity being offered by PROLAYER POULTRY FARM/ANTHONY PASCUAL EBUSCA/ANTON EBUSCA is a form of securities as the elements of investment contract are present in the investment offering. Moreover, the public are enticed to invest via online registration ( https://www.prolayer.farm/register ) by offering the following ways of earning: 1. Daily Harvest where an investor-member may invest an amount ranging from Php200.00 and above, where his/her investment will earn 5% daily for 30 days or equivalent to a total of 150% return on investment . 2. Direct Referral Commission where an investor-member who shall recruit to invest to the entity is entitled to a referral commission equivalent to 10% of the investment of such recruited investor. 3. Indirect Referral Commission where an investor is entitled to 1% from the 2nd up to the 8th level of the investment of the newly-recruited investor-member whenever the subsequent recruits of the earlier investor-member was able to recruit. It must be noted that while PROLAYER POULTRY FARM appears to be a DTI-registered entity, however, the aforementioned schemes of PROLAYER EGG LAYER POULTRY FARMING vis--vis ANTHONY PASCUAL EBUSCA seems to be fraudulent as it is involved in the solicitation, offering, and/or selling of unregistered securities to the public in violation of Sections 8 and 26 of the Securities Regulation Code. DETACa Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code of the Philippines and such other laws, rules and regulations enforced by the Commission. Those who act as salesmen, brokers, dealers or agents of PROLAYER EGG LAYER POULTRY FARMING vis--vis ANTHONY PASCUAL EBUSCA/ANTON EBUSCA in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC (G.R.
