October 7, 2021 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Securities and Exchange Commission has received information that individuals or group of individuals representing RM TRADING led by ROMNICK MIALA (assisted by a certain Jane Quintana and Nelson Tubungbanua ) are enticing the public to invest their money in the said entity with the promise of monetary rewards or profits. Romnick Miala offers an investment scheme where investors shall earn: 1. 40% Passive Income Monthly; 2. 10% Direct Referral Bonus; 3. 10% Referral Passive Income Monthly; and 4. Gadget Incentives for Top Leaders. Allegedly, RM Trading is a group of crypto traders and play-to-earn players where it entices the public to invest into their scheme for as low as Php1,000.00 and promising the above-mentioned income. It foists a con game upon the public that the money invested with them shall be used in playing, breeding, and selling of Axies. Those who are duped into their scheme are instructed to remit their investments to the following accounts: As admitted by the operators, RM TRADING is not a registered entity with this Commission nor does it intend to register with any government agency. Having no primary registration with this Commission, it follows that RM Trading is NOT AUTHORIZED to solicit investments from the public since it can never secure the required and necessary registration and/or license from the Commission as prescribed under Sections 8 and 28 of the Securities Regulation Code taking into consideration as well that the scheme it offers is within the context of a ponzi scheme where the main source of income that shall in turn be distributed among the investors primarily comes from the investment of the incoming investors. Worthy to note that just playing, breeding, and selling of Axies cannot sustain the promised return being guaranteed by RM Trading. Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code and such other laws, rules and regulations enforced by the Commission . Hence, those who act as salesmen, brokers, dealers or agents or claim to act as such of RM TRADING in selling or convincing people to invest in the investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC. Also, those who invite or recruit others to join or invest in such venture or offer investment contracts or securities to the public may incur criminal liability, or otherwise be sanctioned or penalized accordingly as held by the Supreme Court in the case of Securities and Exchange Commission vs. Oudine Santos (G.R. No. 195542, 19 March 2014) . Further, the names of all those involved will be reported to the Bureau of Internal Revenue (BIR) so that the appropriate penalties and/or taxes be correspondingly assessed. In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by ROMNICK MIALA, NELSON TUBUNGBANUA, JANE QUINTANA , and/or any other person acting on their behalf through RM TRADING and exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of ROMNICK MIALA, NELSON TUBUNGBANUA, JANE QUINTANA through RM TRADING .
