October 10, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC are NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC . This Advisory is prompted by reports received and information gathered by the Commission that individuals or group of persons are enticing the public, through social media platforms, to invest in DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC . HTcADC As posted on its Facebook Page, DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC is allegedly involved in quarrying business and expansion of its operations require significant capital. The company is seeking partners for guaranteed and sustainable returns. The investment opportunity being offered by DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC is a form of securities as the elements of investment contract are present in its investment offering. Moreover, the public is enticed to invest through the following 3-ways to earn: 1. 7.5% monthly profit where an investor-member is enticed to invest an amount ranging from Php20,000 to Php50,000 for a 7.5% monthly profit; 2. 10.5% monthly profit where an investor-member is enticed to invest an amount ranging from Php80,000 to Php150,000 for a 10.5% monthly profit; and 3. 15% monthly profit where an investor-member is enticed to invest an amount ranging from Php250,000 and above for a 15% monthly profit. CAIHTE Records of the Commission show that DOUBLE R TRUCKING AND AGRREGATES OPC is registered as One Person Corporation (OPC) with the Commission on 22 August 2023. However, it is NOT AUTHORIZED to solicit investments from the public since it has not secured prior registration and/or secondary license from the Commission to engage in such activity . The investment scheme being offered by DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC is fraudulent as it engaged in the offering and/or selling of unregistered securities to the public in violation of Sections 8, 26 and 28 of the Securities Regulation Code. Further, the Financial Products and Services Consumer Protection Act (FCPA) specifically provides that any form of deceptive solicitation such as offering or selling of investment scheme to the public without a secondary license or permit from the Commission constitutes investment fraud and is an unlawful activity in violation of Section 11 of the said Act. Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code and the Financial Products and Services Consumer Protection Act (FCPA) and such other laws, rules and regulations enforced by the Commission . Those who act as salesmen, brokers, dealers or agents of DOUBLE R AGGREGATES/DOUBLE R TRUCKING AND AGRREGATES OPC in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and Section 11 of the FCPA and both penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC.
