September 14, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This Advisory is prompted by inquiries, reports and information received by the Commission that individuals or group of persons representing an entity named CCO MEDIA/CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. , is enticing the public to invest their money in the said entity with a promise of monetary rewards or profits. DETACa Based on the reports, CCO MEDIA/CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. , is offering investment products online thru its social media platform which can be found at https://www.imfmedia.com/ and imfmedia.com for a promise of monetary rewards or profits. It was further reported that CCO MEDIA PHILIPPINES' investment scam activities involve the use of CCO MEDIA PHILIPPINES App, by offering investment products called "Original Equity Funds" ranging from Php200.00 to Php1,000,000.00 in exchange for daily returns ranging from 3% up to 50%, depending on the level of investment. In its Facebook (FB) Page, CCO MEDIA PHILIPPINES made an advertisement informing the public of the ways on how CCO Media Users can earn money, as shown below: In the same FB Page, CCO MEDIA PHILIPPINES presented a link to gain access to their company's SEC Certificate as a proof of its legitimacy and as a way of enticing the public to invest in the said entity. Consequently, upon clicking it would appear that their registered company name is CLEAR CHANNEL OUTDOOR ASIA CORP. , as shown below: HEITAD Based on verification conducted, the fraudulent "CLEAR CHANNEL OUTDOOR ASIA CORP.," is not in any way related to, affiliated or connected with the prominent American outdoor advertising company, CLEAR CHANNEL OUTDOOR HOLDINGS, INC./CLEAR CHANNEL OUTDOOR and its affiliates. In fact, CLEAR CHANNEL USA claims that CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. has misappropriated its name, trademark and intellectual property rights without its authority. Further, in its FB Page, CCO MEDIA posted an advertisements inviting the public to join by simply clicking the invitation link registration and watch videos for a promise of receiving extra income. Below are screenshot copies of the said FB posts: aDSIHc The public is hereby informed that CCO MEDIA/CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. , is not authorized to solicit investments from the public, not having secured prior registration and/or license to sell securities or solicit investments as prescribed under Section 8 of the Securities Regulation Code (SRC). Further, the Financial Products and Services Consumer Protection Act (FCPA) also prohibits investment fraud which is defined under the law as any form of deceptive solicitation of investments from the public which includes Ponzi Schemes and such other schemes involving the promise or offer of profits or returns sourced from the investments or contribution made by the investors themselves and the offering or selling of investment schemes to the public without a license or permit from the SEC. ATICcS In view thereof, the public is hereby advised to exercise caution in dealing with any individual or group of persons soliciting investments for and on behalf of CCO MEDIA/CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. The public is further advised NOT TO INVEST or to STOP INVESTING in the investment scheme being offered by the subject entities or its representatives. Those who act as salesmen, brokers, dealers or agents, representatives, promoters, recruiters, uplines, influencers, endorsers, abetters and enablers of CCO MEDIA/CCO MEDIA PHILIPPINES/CLEAR CHANNEL OUTDOOR ASIA CORP. , in soliciting or convincing people to invest in the investment scheme being offered by the said entity including soliciting investments or recruiting investors through the internet may be held criminally liable under Section 28 of the SRC and Section 11 of the FCPA and for the two offenses, both penalized with separate maximum fine of Five Million Pesos (Php5,000,000.00) or imprisonment of Twenty-One (21) years or both pursuant to Section 73 of the SRC (SEC vs. Oudine Santos, G.R. No. 195542, 19 March 2014) . Furthermore, the names of all those involved will be reported to the Bureau of Internal Revenue (BIR) so that the appropriate penalties and/or taxes be correspondingly assessed.
