February 8, 2024 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that REVEAL BEAUTY AND WELLNESS DIGITAL MARKETING OPC, doing business under the name and style of: REVEAL MARKETING/REVEAL MARKETING PH/REVEAL MARKETING TEAM PH ('REVEAL' for brevity) and the individuals offering investments under its name are NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC. HSAcaE This Advisory was prompted by reports received and information gathered by the Commission that individuals or group of persons affiliated with REVEAL , led by its CEO , Willyn Morla , and VP , Lady Lyn Sinfuego , are engaged in an investment scheme called "Shareholder's program." AScHCD As posted on its Facebook Pages, 1 REVEAL represents to be engaged in MLM (Multi-level Marketing) "intended to help the people to have an extra passive income through investments." REVEAL's investment scheme includes a "shareholder's program" which offers different modes where the public can purchase a share and expect a corresponding profit depending on the type of share they choose. The investment opportunity being offered by REVEAL is a form of securities as the elements of investment contract are present in its investment offerings. REVEAL's shareholder program intends to entice the public to invest in them by offering different types of shares from the Basic share, Standard share, and Premium share. 1. Basic share 20% in 7 days with a minimum purchase of 1,000 pesos and a maximum purchase of 30,000 pesos. 2. Standard share 50% in 15 days with a minimum purchase of 1,000 pesos and a maximum purchase of 200,000 pesos. 3. Premium share 130% in 30 days with a minimum purchase of 1,000 pesos and a maximum purchase of 1,000,000 pesos . The records of the Commission show that REVEAL BEAUTY AND WELLNESS DIGITAL MARKETING OPC was registered with the Commission as a one-person corporation on 09 May 2023. However, it is NOT AUTHORIZED to solicit investments from the public since it has not secured prior registration and/or secondary license from the Commission to engage in such activity. HESIcT Further verification also found that the entities REVEAL MARKETING/REVEAL MARKETING PH/REVEAL MARKETING TEAM PH , are not registered either as a corporation, one-person corporation (OPC), or as a partnership. The investment scheme being offered by REVEAL BEAUTY AND WELLNESS DIGITAL MARKETING OPC/REVEAL MARKETING/REVEAL MARKETING PH/REVEAL MARKETING TEAM PH , seem to be fraudulent as it engaged in the offering and/or selling of unregistered securities to the public in violation of Sections 8, 26 and 28 of the Securities Regulation Code. Further, the Financial Products and Services Consumer Protection Act (FCPA) specifically provides that any form of deceptive solicitation such as offering or selling of investment scheme from the public without a secondary license or permit from the Commission constitute investment fraud and is an unlawful activity in violation of Section 11 of the said Act. Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code and the Financial Products and Services Consumer Protection Act (FCPA) and such other laws, rules and regulations enforced by the Commission. Those who act as salesmen, brokers, dealers or agents of REVEAL in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and Section 11 of the FCPA and both penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC . In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by REVEAL as well as in other entities having the same or similar schemes and to exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of REVEAL .
