April 14, 2021 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Commission has received information that INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES is engaged in UNAUTHORIZED investment-taking activities. INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES headed by a certain MARY GRACE PELENIO GANZO entices the public to join the company and invest an amount between Five Hundred (Php500.00) to Fifty Thousand (Php50,000.00) pesos and promises a return of up to 100% or double-your-money in 30 days . To note, the company's Investment and Proposal Agreement promises a return of 300% net income with capital within 40 days of investment . Based on the information gathered by the Commission, the scheme employed by the subject entity offers four (4) different ways to earn money, to wit : (1). Short Term where an investment of Php500.00 becomes Php600.00 in just a period of 8 days; (2). Long Term where an investment of Php1,000.00 turns Php1,500.00 in fifteen (15) days; (3). VIP Plan where an investment of Php5,000.00 grows to Php10,000.00 in just twenty-five (25) days; and (4). Executive Plan where an investment of Php50,000.00 becomes Php100,000.00 in just a period of thirty (30) days with 5% monthly profit share for 10 months . Thereafter, investors are to deposit their payments/investments thru the use of different bank accounts and online remittance centers provided, all under the name MARY GRACE GANZO . Then, investors are instructed to send their proof of payment to https://www.facebook.com/graciana.ganzo for verification. As the aforementioned scheme involve the sale of securities to the public, the Securities Regulation Code requires that these securities are duly registered and that the concerned corporation and/or its agent have appropriate registration and/or license to sell such securities to the public pursuant to Section 8 of the SRC. The public is hereby informed that INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES is NOT registered with the Commission either as a corporation or a partnership. However, INVESTRADE DIGITAL MARKETING SERVICES has been issued a Certificate of Business Name Registration on 08 January 2021 by the Department of Trade and Industry with Business Name No. 2419842 under the name of MARY GRACE PELENIO GANZO . Nonetheless, INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES is not authorized to solicit investments from the public as it did not secure prior registration and/or license to solicit investments from the Commission as prescribed under Section 8 of the Securities and Exchange Commission. Further, INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES is also NOT REGISTERED either as a crowdfunding intermediary or a funding portal under SEC Memorandum Circular No. 14, Series of 2019 or the Rules and Regulations Governing Crowdfunding . Consequently, those who act as salesmen, brokers, dealers or agents of INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES in selling or convincing people to invest in the investment scheme it is being offered including soliciting investments or recruiting investors through the internet may be held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million Pesos (Php5,000,000.00) or imprisonment of Twenty One (21) years or both pursuant to Section 73 of the SRC. Also, those who invite or recruit others to join or invest in such venture or offer investment contracts or securities to the public may incur criminal liability, or otherwise be sanctioned or penalized accordingly as held by the Supreme Court in the case of Securities and Exchange Commission vs. Oudine Santos (G.R. No. 195542, 19 March 2014) . Furthermore, the names of all those involved will be reported to the Bureau of Internal Revenue (BIR) so that the appropriate penalties and/or taxes be correspondingly assessed. In view thereof, the public is hereby advised to exercise caution in dealing with any individual or group of persons soliciting investments for and on behalf of INVESTRADE MARKETING/INVESTRADE DIGITAL MARKETING SERVICES . The public is further advised NOT TO INVEST or to STOP INVESTING in the investment scheme being offered by the subject company or its representatives.
