July 27, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This is to inform the public that GEN-Z AGRIVENTURES, INC. is NOT AUTHORIZED TO SOLICIT INVESTMENTS FROM THE PUBLIC. CAIHTE This Advisory is prompted by reports received and information gathered by the Commission that individuals or group of persons, headed by a certain HOMER LIM , are enticing the public, through social media platforms, to invest in GEN-Z AGRIVENTURES, INC. As posted on its Facebook Page, GEN-Z AGRIVENTURES, INC. is allegedly engaged in the poultry farming business and claims to utilize two (2) business models: Contract Growing and Commercial Poultry Growing. The investment opportunity being offered by GEN-Z AGRIVENTURES, INC. is a form of securities as the elements of investment contract are present in its investment offering. Moreover, the public are enticed to invest through the 6-ways to earn as follows: 1. Co-Partner Plan A or 5% monthly gain where an investor-member is entitled to receive a monthly payout of 5% or equivalent to a total of 60% per annum. aScITE 2. Co-Partner Plan B or 6% monthly gain where an investor-member is entitled to receive a payout every two (2) months or equivalent to a total of 72% per annum. 3. Co-Partner Plan C or 7% monthly gain where an investor-member is entitled to receive a payout every 3 months or equivalent to a total of 84% per annum. 4. Co-Partner Plan D or 8% monthly gain where an investor-member is entitled to receive a payout every 4 months or equivalent to a total of 96% per annum. 5. Co-Partner Plan E or 9% monthly gain where an investor-member is entitled to receive a payout every 6 months or equivalent to a total of 108% per annum. 6. Co-Partner Plan or 11% monthly gain where an investor-member is entitled to receive a payout after 12 months or equivalent to a total of 132% return of investment. The records of the Commission show that GEN-Z AGRIVENTURES, INC. is registered with the Commission on 22 February 2023. However, it is NOT AUTHORIZED to solicit investments from the public since it has not secured prior registration and/or secondary license from the Commission to engage in such activity . The investment scheme being offered by GEN-Z AGRIVENTURES, INC. seems to be fraudulent as it engaged in the offering and/or selling of unregistered securities to the public in violation of Sections 8, 26 and 28 of the Securities Regulation Code. Further, the Financial Products and Services Consumer Protection Act also prohibits investment fraud which is defined under the law as any form of deceptive solicitation of investments from the public which includes Ponzi schemes and such other schemes involving the promise or offer of profits or returns sourced from the investments or contributions made by the investors themselves and the offering or selling of investment schemes to the public without a license. DETACa Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code and the Financial Products and Services Consumer Protection Act (FCPA) and such other laws, rules and regulations enforced by the Commission . Those who act as salesmen, brokers, dealers or agents of GEN-Z AGRIVENTURES, INC. in selling or convincing people to invest in what appears to be an investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and Section 11 of the FCPA and for the two offenses both penalized with separate maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC. In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by GEN-Z AGRIVENTURES, INC. as well as in other entities having the same or similar schemes and to exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of GEN-Z AGRIVENTURES, INC.
